Senior/Junior Corporate Secretarial Executive
Key Responsibilities:
• Company Secretarial Services:
· Assist Manager in the full spectrum of company secretarial duties, including the preparation of board resolutions, minutes, and statutory documents.
· Ensure compliance with relevant laws, regulations, and best practices regarding corporate governance under Singapore Companies Act 1967 and other relevant guidelines.
• Statutory Compliance:
· Monitor and manage statutory deadlines for filing annual returns, financial statements, and other required documents.
· To ensure that information lodge with ACRA is correct and accurate.
· Stay updated on changes in regulatory requirements affecting clients and provide timely guidance.
• Board and Shareholder Meetings:
· Coordinate and organize board and shareholder meetings.
· Prepare meeting agendas, minutes, and resolutions in compliance with Company Act standards.
• Documentation and Record Keeping:
· Maintain accurate and up-to-date statutory records for clients.
· Organize and manage documentation related to clients' corporate affairs.
• Client Onboarding and Due Diligence:
· Facilitate the onboarding process for new clients, ensuring all necessary documentation is collected.
· Conduct due diligence checks and verify the authenticity of client information.
· Preparation of necessary secretarial documents (eg. 1st board resolution , Form 45, statutory registers, share certificates etc) and to ensure lodgment completion within the deadline.
• Conflict Resolution:
· Address and resolve any conflicts or issues that may arise with clients.
· Escalate matters to line manager when necessary.
• Continuous Improvement:
· Contribute to the improvement of internal processes and client service delivery.
· Stay updated on professional development opportunities.
• Client Relationship Management
· Build and maintain strong relationships with clients as the primary point of contact.
· Understand clients' business needs and provide strategic advice on corporate governance matters.
· Ensuring timely responses to inquiries and resolving issues effectively to enhance client satisfaction.
• Advisory Services:
· Provide professional advice on corporate governance, compliance, and regulatory matters to clients in accordance to Singapore Companies Act 1967.
· Stay informed about industry trends and share insights with clients.
• Administration
· Administrative task as and when assigned.
Requirements:
- Diploma/ Degree in Business, Law, or a related field.
- Relevant professional qualifications in company secretarial practice (ICSA/ ICA/ AIA/CPA) is a plus.
- Min 2 years of experience in company secretarial roles in Singapore; fresh graduate is welcome to apply.
- Familiarity with ACRA filing requirements and procedures.
Skills:
- Strong knowledge of Singapore company law and corporate governance principles.
- Excellent organizational and time-management skills.
- Attention to detail and accuracy in record-keeping.
- Effective communication and interpersonal skills.
- Proficient in Microsoft Office Suite.
- Familiarity with company secretarial software is an advantage.
- Ability to anticipate company secretarial needs and take proactive measures.
- Willingness to stay updated on changes in regulations and best practices.
