SGX-Listed Group | Strategic Governance Role

About the Company

We are a leading SGX-listed group with a strong reputation and commitment to sustainable long-term growth. To strengthen governance and board support, we are seeking an experienced Company Secretary.

The Role

This is a senior management appointment and its related spectrum of responsibilities.

Key Responsibilities

  • Lead the full spectrum of company secretarial functions: board/committee meetings, minutes, statutory filings, SGX and ACRA compliance
  • Advise Board and management on corporate governance, materiality and disclosure for announcements
  • Drive corporate exercises: share buybacks, shares placements and capital market transactions
  • Directly oversee effective subsidiary governance, statutory filings, financial statement compliance, AGM support, and D&O insurance; manage ad hoc secretarial projects
  • Liaise with regulators to ensure timely compliance and strong governance practices
  • Manage and mentor a team of corporate secretarial professionals

Requirements

·       Degree in Law, with qualifications and certifications as a Company Secretary.

·       Former lawyer with demonstrated corporate governance expertise

·       Strong track record as a Company Secretary in a listed company, and in managing multiple entities in a group structure.  Prior exposure to non-listed firms will be considered if complemented by strong capability.

·       Proven experience in handling SGX announcements, regulatory submissions, and company structuring with ACRA.

·       Strong knowledge of ACRA, Companies Act (Cap. 50), SGX Listing Rules, Code of Corporate Governance, and MAS regulations.

·       Excellent stakeholder management skills—engaging, attentive listener, able to handle pressure and deliver quick turnarounds.

·       Demonstrated leadership ability with experience mentoring and managing teams.

·       Strong writing and communication skills, with ability to draft precise board materials and minutes efficiently.

·       Strong problem-solving skills, resourceful, and committed to continuous improvement.
