This position involves overseeing the full spectrum of corporate secretarial work independently, ensuring compliance with regulatory requirements.
Key Responsibilities:
- Manage corporate secretarial work independently, encompassing incorporations, annual filings, board resolutions, and share-related transactions.
- Handle client portfolios, ensuring compliance with relevant laws and regulations.
- Advise clients on corporate governance matters, compliance, and regulatory updates.
- Maintain accurate statutory registers and prepare board minutes, resolutions, and annual returns.
- Liaise directly with auditors, lawyers, banks, and regulatory authorities to ensure compliance matters are addressed.
- Monitor and maintain offshore entity documentation, adhering to international compliance standards.
Requirements:
- Diploma or degree in corporate governance, business administration, accountancy, or law.
- Minimum 5 years of corporate secretarial experience, preferably in a corporate service provider environment.
- Strong understanding of offshore company structures and compliance requirements.
- Proficiency in Mandarin (spoken and written) to liaise with Chinese-speaking clients.
- CSIS Practising Certificate is a strong advantage.
- Proven ability to work independently in a standalone role without team support.
- Detail-oriented, well-organized, and able to meet strict deadlines.
