Key Responsibilities:
  • Manage corporate secretarial work independently, encompassing incorporations, annual filings, board resolutions, and share-related transactions.
  • Handle client portfolios, ensuring compliance with relevant laws and regulations.
  • Advise clients on corporate governance matters, compliance, and regulatory updates.
  • Maintain accurate statutory registers and prepare board minutes, resolutions, and annual returns.
  • Liaise directly with auditors, lawyers, banks, and regulatory authorities to ensure compliance matters are addressed.
  • Monitor and maintain offshore entity documentation, adhering to international compliance standards.

Requirements:
  • Diploma or degree in corporate governance, business administration, accountancy, or law.
  • Minimum 5 years of corporate secretarial experience, preferably in a corporate service provider environment.
  • Strong understanding of offshore company structures and compliance requirements.
  • Proficiency in Mandarin (spoken and written) to liaise with Chinese-speaking clients.
  • CSIS Practising Certificate is a strong advantage.
  • Proven ability to work independently in a standalone role without team support.
  • Detail-oriented, well-organized, and able to meet strict deadlines.
