**SUMMARY OF ROLE**
The role is responsible to drive the strategic development, design, implementation, communication, maintenance and compliance of all executive compensation programs to align with Maxeon’s Total Rewards philosophy and business objectives.
The scope includes but not limited to the following (other tasks assigned):
- **Executive Compensation, STI & LTI Programs Development**:
- Develop executive compensation philosophy that is reviewed and renewed annually by the Compensation Committee.
- Partner closely with external compensation consultant on market benchmarking, review, develop and deliver recommendations, as required, for incentive compensation, bonus plans, equity plans that meet the needs of the organization while monitoring external trends in the marketplace.
- Collaborate with Finance on incentive plans budgets, performance measures, target setting, tax and accounting/accrual matters.
- Develop and maintain all STI and LTI plan documents and materials for communication to stakeholders.
- **Board of Directors and C-suite Compensation Management**:
- Manage Board of Directors fees administration, including tax treatment, approval procedures and documentations.
- Manage executive compensation review cycle, furnishing external benchmarking analysis, holding power analysis to Compensation Committee to guide decisions for salary increases, bonus payments and LTI grants proposals.
- Administer key performance metrics tracking for STI and LTI plans, executive severance and other executive policies.
- Create offer packages for key executive hires, ensure competitiveness and compliance with governance guidelines, prepare executive employment agreements.
- **Equity Program Management & Governance**:
- Oversee administration of global equity plans and all aspects of the equity management system, including new grants, vest event processing, settlement, termination, plan documentation and stockholder ownership guidelines.
- Develop proposal for annual equity budget, report utilization and update share capitalization table for reporting to Compensation Committee.
- Ensure compliance with government laws governing both compensation and benefits practice. In collaboration with Legal, prepare executive compensation materials and documentation necessary for required filings, the annual proxy statement and annual shareholder meeting.,
- **Compensation Committee Engagement**:
- Own planning the yearly meeting calendar and quarterly meeting agendas.
- Arrange prewire meetings to engage Committee members in discussions of key topics.
- Prepare materials for quarterly and adhoc Compensation Committee meetings throughout the year, including language translation for all meeting materials.
**RELATED EXPERIENCE AND EDUCATIONAL REQUIREMENTS**
**Minimum requirements**
- Bachelor’s degree in a relevant field.
- 5+ years working experiences in executive compensation consulting fields, with projects that cover Long-term incentive or Executive Compensation design.
- Global Remuneration Professional (GRP) certification will be an advantage.
- Ability to approach program designs, project management and vendor management from a global perspective
- Ability to articulate viewpoints with clarity of thoughts and exercise judgement based on facts and reliable data.
- Attention to detail and follow-up skills with ability to identify and resolve problems.
- Previous experience in compensation or total rewards position in a publicly traded US listed company preferred.
- High degree of adaptability and flexibility
- Ability to work in a team-based environment
- Excellent analytical skills, detailed-oriented, communication, and presentation skills
- Strong business acumen and has a credibility to liaise with and communicate effectively with C-suite, CEO and Board members, etc.
- Strong verbal mandarin skills; ability to write Simplified Chinese with be an advantage.
