What you'll do:
As a Corporate Secretary on a one-year contract based in Singapore, you will play an integral part in facilitating smooth board operations while ensuring full compliance with statutory obligations.
- Assist with the preparation of Board and Shareholders' resolutions, ensuring all documentation meets regulatory standards and internal requirements.
- Oversee filings with the Accounting and Corporate Regulatory Authority (ACRA) as well as submissions to the Monetary Authority of Singapore (MAS), maintaining accuracy and timeliness at all times.
- Maintain statutory registers and records meticulously, managing both digital and hardcopy minutes and resolutions for easy retrieval and audit readiness.
- Provide comprehensive support for Board, Board Committee, and Singapore Management meetings by creating detailed agendas, coordinating logistics for both physical and virtual sessions, preparing draft minutes, distributing materials via secure platforms, and executing post-meeting actions efficiently.
- Coordinate administrative arrangements for Board and Committee meetings, including scheduling, venue setup or virtual access facilitation, catering to the needs of all participants.
- Support the team in ensuring strict adherence to company laws, regulations, and best practices in corporate governance through diligent monitoring of compliance requirements.
- Assist with other secretariat tasks or compliance-related assignments as required by the business, demonstrating flexibility across various responsibilities.
- Contribute to transaction matters by providing timely secretarial support during key business events or changes.
- Utilise Microsoft Office applications (Word, Excel, PowerPoint, Outlook) proficiently for document preparation, data management, presentations, and communication.
- Leverage experience with board portal software such as BoardPac to streamline distribution of meeting materials and enhance security.
What you bring:
To excel as a Corporate Secretary in this contract role based in Singapore's financial sector, you will bring substantial experience gained from similar positions-ideally within regulated environments such as banks or listed companies.
- Bachelor's degree in Business Administration, Governance, Law or related discipline is required along with at least six years of relevant corporate secretarial experience.
- Graduateship or Associate membership of the Institute of Chartered Secretaries and Administrators demonstrates your professional commitment.
- Previous in-house corporate secretarial experience within a financial institution or listed company will be highly regarded for this position.
- A robust understanding of corporate governance principles as well as familiarity with applicable regulations is essential for success.
- Proven ability to manage multiple tasks simultaneously while maintaining meticulous attention to detail in documentation and record-keeping is crucial.
- Exceptional written and verbal communication skills enable effective interaction with stakeholders at all levels within the organisation.
- Demonstrated proactivity combined with self-motivation allows you to work independently while also thriving as part of a collaborative team environment.
- Advanced proficiency in Microsoft Office applications (Word, Excel, PowerPoint, Outlook) ensures efficient document creation and data management.
- Experience using board portal software such as BoardPac or similar platforms is advantageous for streamlining meeting processes.
- Favourable consideration will be given if you possess a solid understanding of IT concepts, tools or systems relevant to modern secretarial functions.
