**Board Secretary / Data Protection Officer**
**Responsibilities**:
- Organize and schedule board meetings; prepare and distribute agendas with the board chair and executive team.
- Record and maintain detailed minutes, resolutions, and official documents.
- Ensure compliance with legal and regulatory requirements, including filing necessary documents.
- Act as liaison between the board and management to facilitate clear communication.
- Provide governance guidance and ensure board operations align with policies and best practices.
- Assist in onboarding new board members and improving board effectiveness.
- Maintain and update corporate governance policies and procedures.
- Ensure compliance with data protection laws (e.g., PDPA); implement and audit data protection frameworks.
- Monitor changes in data protection laws, advise senior management, and liaise with regulatory bodies.
**Requirements**:
- Bachelor’s degree in Law, Business Administration, or related field; qualifications in corporate governance or law preferred.
- Professional certifications in data protection/privacy (e.g., CIPP/E, CISM, CISA) are advantageous.
- 8+ years of corporate secretarial or governance experience, preferably in a public or large organization.
- Expertise in corporate governance, legal regulations, and compliance.
- Strong organizational, interpersonal, and communication skills.
- High initiative, independence, and ability to multitask in a fast-paced environment.
- Demonstrated professionalism, confidentiality, and stakeholder management.
- Familiarity with data protection practices.
