
Corporate Secretarial Executive

As the Corporate Secretary Manager, you will assume a leadership role in ensuring the efficient and compliant management of corporate secretarial functions. This position requires a thorough understanding of legal and regulatory requirements, impeccable organizational skills, and a commitment to maintaining the highest standards of corporate governance.
Key Responsibilities:
1. Compliance Management:
- Oversee and ensure the company's compliance with all relevant legal and regulatory requirements, including statutory and governance obligations.
- Stay updated on changes in legislation and regulatory standards and advise the organization accordingly.
2. Team Supervision:
- Lead, guide, and supervise the Corporate Secretary Department team members, providing mentoring, training, and support.
- Ensure the team's efficiency and adherence to company policies and procedures.
3. Corporate Governance:
- Establish and maintain corporate governance policies and practices, ensuring alignment with industry best practices and legal requirements.
- Advise senior management and the board on corporate governance matters.
4. Board Support:
- Coordinate and facilitate board meetings, including preparing meeting agendas, taking minutes, and maintaining official records.
- Oversee director appointments, resignations, and board communication.
5. Company Registration and Maintenance:
- Manage the registration and incorporation of the company and clients.
- Maintain statutory registers and records, including the Register of Members and Register of Directors.
6. Corporate Filings:
- Ensure timely and accurate filing of statutory documents and annual returns with relevant government authorities.
- Monitor filing deadlines and submission requirements.
7. Shareholder Relations:
- Manage communication with shareholders, address their queries and concerns, and facilitate annual general meetings and extraordinary general meetings.
8. Legal Liaison:
- Serve as a point of contact between the company and its legal counsel.
- Collaborate with external lawyers on legal matters and corporate transactions.
- Liaise with 3rd party service providers in relation to company secretary related matters.
9. Risk Management:
- Identify, assess, and mitigate legal and compliance risks.
- Maintain records of insurance policies, claims, and legal proceedings.
10. Corporate Transactions:
- Provide legal and compliance guidance during mergers, acquisitions, and other corporate transactions.
- Ensure the company's legal interests are protected during such transactions.
11. Record Keeping:
- Maintain organized electronic and physical records of corporate documents, including articles of incorporation and bylaws.
- Provide monthly reporting to Management.
12. Trainings:
- Conduct inhouse trainings in relation to compliance / changes in regulations.
Qualifications:
- Be a qualified Chartered Corporate Secretary.
- Proven experience in corporate secretarial roles, including leadership and team management.
- Thorough understanding of corporate governance, legal, and regulatory requirements.
- Excellent organizational and multitasking skills.
- Strong communication and interpersonal skills.
- Attention to detail and a commitment to maintaining the highest standards of accuracy and compliance.
- Ability to adapt to changes in legislation and regulations.
**Salary**: $5,000.00 - $7,000.00 per month
Schedule:
- Day shift
- Monday to Friday
Supplemental pay types:
- 13th month salary
- Performance bonus
