Key Responsibilities:
- Ensure compliance with all relevant laws and regulations, including the Companies Act and other applicable legislation.
- Manage the board of directors and ensure that all board meetings are properly organized, documented, and recorded.
- Provide advice and guidance to the board on corporate governance matters, including board structure, board composition, and director responsibilities.
- Draft and maintain company policies, procedures, and corporate documents, including articles of association, board charters, and shareholder agreements.
- Maintain accurate and complete records of all corporate matters, including share registers, director and officer details, and minutes of board meetings.
- Manage and maintain relationships with shareholders, legal advisors, and other stakeholders.
- Ensure that the company's filings with relevant regulatory authorities are accurate and up-to-date.
- Work closely with other departments, such as finance, human resources, and legal, to ensure that all corporate matters are handled effectively.
**Requirements**:
- Bachelor's degree in Law, Business Administration, or a related field.
- 5+ years of experience as a Company Secretary or similar role.
- Thorough understanding of company law, corporate governance, and legal compliance.
- Excellent communication, organizational, and problem-solving skills.
- Ability to work independently and as part of a team.
- Strong attention to detail and ability to manage multiple tasks and priorities.
- Proficient in Microsoft Office and legal software such as eBrevia or other similar systems.
- Professional certification in company secretarial practice is preferred.
