Associate Corporate Counsel

We are looking to hire an Associate Corporate Counsel to join our Asia legal team. This role will be based in Singapore and reports to the Associate General Counsel. In this role, you will review and prepare disclosure documents, shareholder reports, marketing materials for existing funds, memoranda, and other materials for meetings of the funds’ boards of trustees. In addition, you will be assisting in the development and launch of new funds, drafting and negotiating on various types of agreements (including distribution agreements and investment management agreements) and may be called upon to advise on private equity investments on behalf of the funds and institutional accounts.

What are the ongoing responsibilities of this position?
- Assist with new fund development; advise on fund structure, business, and regulatory issues; draft and prepare fund disclosure documents
- Assist with support of institutional business, including the drafting and review of investment management agreements and other ancillary documents and attending onboarding meetings
- Assist in the preparation of materials for board meetings and post-meeting follow up
- Serve as lead disclosure attorney for selected funds with responsibility for preparation and/or review of: offer documents, constitution documents, registration documents, etc
- Assist in the support of portfolio management, risk management and compliance with respect to the use of complex securities and derivative instruments, advice on compliance with applicable regulatory restrictions and requirements, draft board memoranda and fund risk disclosure
- Assist in support of broker-dealer affiliate on regulatory and compliance matters related to the distribution of the funds; draft and negotiate partnership, support, and distribution-related agreements with financial intermediaries
- Provide legal advice on private equity transactions

What qualifications, skills and experience would help someone to be successful?
- Degree from reputable law school and distinguished academic and professional experience
- At least 3 years PQE in investment management/ financial/ corporate sector with a law firm and/or global financial services company
- Malaysia qualifications and/or experience with Malaysia legal matters will be an advantage (although not essential)
- Experience in private equity transactions will be an added advantage
- Ability to communicate effectively and to establish and maintain cooperative working relationships with persons contacted in the course of performing assigned duties including Company management and outside business associates
- Excellent command of spoken and written English. Proficiency in Bahasa Malaysia is highly preferred due to regional coverage but not a requirement
- Analytic and meticulous
- Comfortable advising and interacting with senior management/investment professionals on a regular basis
- Ability to maintain confidentiality and work independently
- Ability to develop solutions to a variety of complex problems and ensure solutions are consistent with organization objectives
