**We currently have an immediate need for a Corporate Entity and Subsidiary Manager for Taguig, Philippines**

**About the Role**:Support Aviat’s growing business by managing a portfolio of corporate subsidiaries across the globe. This role sits in Aviat’s Legal Affairs Department, reporting to the Legal Operations Manager with regular interaction from the General Counsel.

**Responsibilities**:

- Establish, maintain, and/or dissolve subsidiary entities, as applicable, taking each project from start to finish;
- Update members and directors of subsidiary entities, as applicable;
- Create and maintain a Rolling Action Items List for entity-related projects;
- Create status reports for such entity-related projects that can be presented to management;
- Create and maintain compliance calendars for all entities, including regular meeting cadence and/or governmental reporting criteria;
- Communicate with local partners in foreign countries to understand outstanding tasks and determine status on specific projects;
- Maintain electronic files and minute books for all entities;
- Schedule and host compliance meetings for entities, including preparing agendas, gathering materials from attendees, and coordinating signatures on any resolutions passed;
- Engage colleagues as needed when other materials are required for compliance;
- Create and maintain an entity organization chart; and
- Other related duties, as assigned.

**Qualifications & Competencies**:
Entity Management
- Establish a new entity.
- Update Officers and Directors on an entity.
- Schedule and conduct annual governance meetings.
- Dissolve an entity.
- Draft written resolutions.
- Manage and coordinate with third party vendors and registered agents.
- Preferred experience includes:

- Managing an international portfolio of entities; and
- Managing a portfolio of 50+ entities.

Cross-Departmental Collaboration
- Schedule and host meetings with attendees from other working groups.
- Collaborate with colleagues in Finance/Accounting/Tax to gather documentation, meet deadlines, solve problems, and address challenges.
- Promptly respond to requests for information.
- Preferred experience includes:

- Schedule and host meetings with international attendees in multiple time zones; and
- Lead a cross-functional project.

Organizational Skills
- Sharp attention to details.
- Deliver projects on time, and take projects from start to finish.
- Deftly manage time and priorities, including flexibility and know-how to adjust on-the-fly.
- Systematically follow up on outstanding requests and tasks.
- Electronic management of large volumes of documentation and files.
- Preferred experience includes:

- Process and procedure development.

Communication Skills
- Give detailed instructions in a clear and succinct manner, both written and verbally.
- Schedule and host meetings, including preparing materials and agenda.
- Preferred experience includes:

- Creating reports and/or presentations to deliver to management;
- Regular communication across all methods with international colleagues and third parties; and
- Some knowledge of a second language.

Technical Skills
- Preferred experience includes:

- Notarial certification

Education (any combination of two of the following)
- Bachelor’s Degree.
- Paralegal Certification.
- 3+ years’ working in a legal practice or department, with a focus on corporate matters.
