Main purpose of the role: Simmons Adaptive is currently seeking Private Credit consultants for a live client assignment with one of the firm’s key global clients. You will be responsible for: Providing day-to-day support to the client’s private credit, capital solutions, portfolio finance, private placement and deal teams on issues related to investments in private credit, structured finance, loans, capital solutions, and portfolio investments. Work will include negotiating term sheets (with or without access to external counsel), advising on key legal and commercial issues, advising on the legal structure of transactions and high-level local law considerations, assisting with executing transactions, and instructing and liaising with external counsel. Providing internal legal advice and working closely with external counsel on matters relating to the Private Credit business such as capital call or fund leverage facilities for the client’s investment funds, or general investor queries. Building relationships with and working alongside teams within the business including Investment, Investor Relations, Operations, Compliance functions and other members of the Global Legal Team, as appropriate. Assisting with the identification of general corporate, tax, risk, regulatory, legal and compliance issues and interfacing with external law firms in order to render appropriate legal advice regarding the same. Managing and maintaining relationships with preferred legal advisors. Managing external counsels, working alongside the investment team, and coordinating with the operations team on the execution of transactions. Monitoring and updating business teams on relevant legal and regulatory developments, and compliance with applicable laws and regulations regarding conflicts of interest, corporate governance, ethics, labor laws, and environmental protection. Person specification: You are a qualified Solicitor with 8-10 years PQE as a private credit, debt or financing lawyer in leading law firms, preferably also having in-house counsel experience in a leading asset manager or other investment institutions. You hold a law degree with superior academic credentials from a top-tier law school. You have strong legal technical skills and commercial awareness. You have experience with credit documentation including grids, term sheets and commitment letters, facilities agreements, intercreditor agreements and note purchase agreements. You are familiar with Loan Market Association standard documents required. You are familiar with distressed credits and support for workouts and restructurings a plus. You are familiar with structuring and regulatory considerations in Europe, with key jurisdictions including US, Japan, Korea, Singapore, and China. You will build relationships with, and work alongside, business teams and other members of the Legal Team, as appropriate. You are a self-starter with a flexible “can-do” mentality and commercial approach. You have excellent organizational skills and the ability to manage competing workloads of diverse matters in a timely manner. You are a team player, with a willingness to collaborate and share know-how amongst colleagues. You have strong written and oral communication skills. Any additional language proficiency is highly preferred. You have the ability to work to tight deadlines and prioritize work according to urgency and importance. You have a willingness to go beyond existing areas of expertise and work in new areas of law relevant to the business.
