Job Title: Corporate Governance Manager
About the Role:
This is a senior-level position that involves overseeing all aspects of corporate governance, compliance, and regulatory requirements for an organization. The successful candidate will be responsible for managing board meetings, ensuring legal and regulatory compliance, maintaining corporate records, and advising senior management on governance matters.
Responsibilities:
- Manage the development and implementation of corporate governance policies and procedures.
- Oversee the maintenance of accurate and up-to-date corporate records, including share registers, directors' details, and other relevant documents.
- Co-ordinate board meetings, including preparing agendas, taking minutes, and ensuring that all necessary documentation is available.
- Provide guidance and support to senior management on governance matters, including advice on compliance with laws and regulations.
- Develop and maintain relationships with external stakeholders, including regulatory bodies, legal advisors, and other relevant parties.
Requirements:
- Demonstrated ability to lead and manage a team effectively, including overseeing day-to-day operations and providing guidance and support to staff.
- Experience in overseeing various administrative functions, such as facilities management, procurement, vendor management, and office operations.
- Financial management skills, including budgeting, financial forecasting, and cost control measures.
- Strong analytical and problem-solving abilities to identify issues, evaluate options, and implement solutions in a timely manner.
- Excellent communication and interpersonal skills to liaise with stakeholders, negotiate contracts, and resolve conflicts effectively.
- Knowledge of relevant laws, regulations, and compliance requirements related to corporate governance, labour laws, and environmental regulations.
