Compliance Nominee Director

This is a unique role where you will serve as a nominee director on our compliance panel in Singapore. Your key duties will include:

  • Acting as the nominee director on ACRA records for assigned clients.
  • Serving statutory duties, including signing board resolutions for lawful directions given by clients, validated and executed by our team.
  • Maintaining residence in Singapore and keeping us informed of any changes to residency.
  • Maintaining a clean public record and adhering to Companies Act requirements.
  • Acting honestly and in good faith, avoiding conflicts of interest and exercising due care and diligence.
  • Using best efforts to comply with legal obligations and duties as a nominee director.
  • Staying attentive to compliance notifications from regulatory authorities and working with clients and our team to resolve issues.
  • Occasionally attending physical board meetings or meetings with traditional banks, if required.

Key Requirements:

  • Understanding of Companies Act Cap 50, ACRA Regulations, and directors' duties.
  • Previous experience as a Director of own or other companies.
  • Background in corporate, professional environments.
