Legal & Compliance Manager

This role will be reporting to the Head of Finance & Compliance. The Legal and Compliance Manager is responsible for overseeing the company's legal and regulatory obligations. This role involves reviewing, drafting, and negotiating various contracts, ensuring compliance with corporate governance standards, data protection laws, and financial regulations such as the MAS Payment Services Act. The manager acts as a key liaison between internal stakeholders and external legal counsel, supports risk mitigation efforts, and conducts regular compliance reviews and training. Additionally, they manage board governance matters, maintain ISO 9001 certification, and support company-wide legal and compliance initiatives.
In your role:
- Review, analyse, and propose risk mitigation alternatives on the Company's various types of contracts, such as non-disclosure agreements, tenders, and professional service agreements.
- Review, draft, update and negotiate terms and conditions of various types of contracts (including existing contract templates) with external parties and partners of the Company.
- Act as a liaison between internal stakeholders and external counsel in relation to external legal advice and its interpretation, and management of legal costs.
- Participate in negotiations with relevant counter parties and external legal counsels.
- Review Company's business activities, corporate governance and conduct regular compliance reviews.
- Participate in mitigation processes in line with overall standard operating procedures.
- Provides internal stakeholders with information regarding department processes, procedures and contract development, including development/presentation of training materials.
- Responsible for supporting Company's Personal Data Protection Management Programme in compliance with the Personal Data Protection Act, including the maintenance of the Company's Data Protection Policies and Procedures, reviewing data practices across the Company and conducting regular training.
- Responsible for ensuring processes and documentations are in compliance with MAS Payment Services Act Regulations, including customer due diligence review and monitoring activities.
- Ensure that the relevant policies and SOPs relating to the Company's Major Payment Institution Licence are up-to-date and complied with.
- Maintain Board of Directors profile, coordination of Board and sub-committees meeting schedules and recording of Board meeting minutes.
- Liaise with external corporate secretary on Board resolution matters, Board Appointment and Renewal.
- Act as the Management Representative for the Company's ISO 9001 certification.
- Other compliance work that may be assigned from time to time by Head of Finance & Compliance and CEO.
Requirements:
- Bachelor's Degree in Law, or related discipline.
- Professional Certificate in Legal Studies, or relevant field (for those without a relevant Law Degree).
- Minimum 8-10 years of relevant experience in compliance, legal contract management and administration.
- Experience managing Contracts, PDPA, PSA and Regulatory Compliances are mandatory to be successful in this role.
- Good interpersonal and negotiation skills are mandatory to work collaboratively with internal and external stakeholders.
- An analytical mindset with excellent organization skills.
