Purpose / Role:

We are seeking a seasoned and strategic professional to lead and manage the full suite of corporate secretarial services across the diverse businesses and entities within the Surbana Jurong Group

Responsibilities / Duties:

  • Serve as the named Company Secretary for entities within the Surbana Jurong Group, as designated by the General Counsel.

  • Oversee the full spectrum of corporate secretarial duties, managing a portfolio of companies across Singapore and international jurisdictions.

  • Support the Chief Legal Counsel (CLC) in leading and coordinating corporate secretariat teams and external service providers across various countries.

  • Design and implement systems and processes to ensure the delivery of corporate secretarial services aligns with best practices in corporate governance.

  • Manage the issuance and administration of Powers of Attorney and other documents executed under the company seal.

  • Prepare and deliver timely and accurate reports to shareholders and directors, ensuring transparency and compliance.

  • Provide expert advice on compliance with company policies and relevant corporate laws, and support management and directors in implementing necessary changes.

  • Identify and assess potential or actual conflicts of interest, offering guidance on appropriate mitigation and management strategies.

Requirements:

  • A member of SAICSA (The Singapore Association of the Institute of Chartered Secretaries and Administrators).

  • Brings over 15 years of corporate secretarial experience, currently serving in a managerial role with demonstrated leadership capabilities.

  • Proven ability to perform effectively under pressure and consistently meet tight deadlines.

  • Proficient in Microsoft Word and Excel, with strong attention to detail and document management skills.

  • Excellent communication and interpersonal skills, with the ability to collaborate effectively within a team and work independently with minimal supervision.

  • Experience with listed companies is a strong advantage.
