**Job Position Purpose / Summary**

The position is based at Avanos’ office in Singapore (or as otherwise designated) and is part of the Ethics & Compliance Department. The position will report directly to the Senior Vice President & Chief Ethics & Compliance Officer and indirectly to the Senior Vice President & General Counsel. This position is mainly responsible for implementation and maintenance of the Corporate Compliance Program in APAC. This position is also responsible for managing the legal needs for the APAC regions, including but not limited to drafting agreements, maintaining legal entities, managing legal matters related to HR, and providing legal advice to internal customers.

**Job Position Accountabilities / Expectations**

Ethics & Compliance Responsibilities:

- Implement and maintain the Corporate Compliance Program in APAC, including compliance requirements specific to the regions.
- Contribute as strategic partner by advising business leaders and other clients on ethical and compliance risks within the region and help such clients to accomplish goals or adjust goals in accordance with applicable laws and policies.Participate in regional leadership team meetings.
- Conduct internal investigations, in coordination with Compliance, Legal, Human Resources, and Global Security, as appropriate.
- Lead significant Ethics & Compliance Department and cross-functional initiatives.
- Conduct necessary in-region due diligence of third parties.
- Manage compliance with privacy laws, including acting as a Data Privacy Officer.
- Assist clients in setting and maintaining an ethical culture in regions, consistent with Company Values.
- Administer the APAC Management Compliance Oversight Committee.
- Assist the Ethics & Compliance Department in policy and process drafting and management, in-region compliance monitoring, training, communication, and auditing, particularly regarding compliance with laws applicable to a US-based multinational medical device company.
- Perform any other tasks necessary for the advancement of the goals of the Ethics & Compliance Department and corporation.

Legal Responsibilities:

- Draft and negotiate country-specific and cross-border commercial agreements such as sales, distribution, service, and purchasing agreements.
- Manage corporate matters relating to legal entities.
- Provide counsel on dispute resolution, including litigation.
- Participate in review of marketing and other product claims materials for legal compliance.
- Advocate to government agencies and respond to their inquiries and subpoenas.
- Hire and manage outside legal counsel, as appropriate and as directed or approved by the General Counsel.
- Provide legal advice to the Human Resources Department on employee-related matters.
- Lead significant Legal Department and cross-functional initiatives. Provide such other legal services as may be required for a publicly-traded, global medical device company.
