Position purpose and context: The Head, Ethics, Compliance & Legal, APAC is based at Avanos’ office in Singapore (or as otherwise designated) and is part of the Ethics & Compliance Department. The role reports directly to the Chief Ethics & Compliance Officer and indirectly to the General Counsel. This position is mainly responsible for implementation and maintenance of the Corporate Compliance Program in APAC, and for managing the legal needs of the APAC region, including drafting agreements, maintaining legal entities, handling HR-related legal matters, and providing legal advice to internal customers. It supports various Avanos teams with guidance to accomplish business objectives and ensure compliance with laws, regulations, and Avanos policies.

Principal Responsibilities
  • Oversight: Lead the implementation of the Global Compliance Program in APAC and provide principal Legal support in the Region under the direction of the Chief Ethics & Compliance Officer and the General Counsel.
  • Ethics & Compliance Responsibilities
  • Regional Leadership: Support International Compliance Oversight Committee and other Ethics & Compliance activities; enhance and implement processes as needed; support efforts to advance Avanos Ethics & Compliance Culture. Implement and maintain the Corporate Ethics & Compliance Program in APAC, including region-specific requirements.
  • Advice and Guidance: Provide day-to-day advice and guidance to relevant business teams on Ethics & Compliance matters. Participate in regional leadership team meetings.
  • Risk Assessment Activities: Support annual Risk Assessments and review activity-specific plans by business teams. Provide training and guidance on the Risk Assessment process, including development of tools as required.
  • Written Standards: Support the drafting, implementation and communication of Compliance-related policies and procedures.
  • Program Management: Implement actions as specified in the annual work plan and KPIs.
  • Regional Privacy: Manage compliance with privacy laws, including acting as a Data Privacy Officer.
  • Training and Communications: Support the annual training and education plans; develop communications on key Ethics & Compliance risks and initiatives; provide additional training as requested.
  • Monitoring and Auditing: Support Audit, Monitoring and Investigations teams; implement monitoring processes in applicable businesses, including ride-alongs with field personnel.
  • Third Party Management: Support Third Party Seller and Non-seller Third Party (NSTP) compliance management and initiatives, including Third Party Risk Assessments and site visits.
  • Investigations: Conduct and/or assist in investigations as requested; conduct reviews of documentation, interviews, and drafting reports; ensure consistent investigative processes.
  • Corrective Actions: Implement and track corrective actions for identified issues and assessments; evaluate effectiveness of actions.
  • Legal Responsibilities:
    • Contract Management: Draft and negotiate country-specific and cross-border commercial agreements (sales, distribution, service, purchasing).
    • Corporate Secretariat: Manage corporate matters relating to legal entities.
    • Litigation Management: Provide counsel on dispute resolution, including litigation.
    • General Legal Advice:
      • Review marketing and product claims for legal compliance.
      • Provide legal advice to Human Resources on employee-related matters.
      • Interact with government agencies and respond to inquiries and subpoenas.
      • Hire and manage outside legal counsel, as directed by the General Counsel.
      • Provide other legal services as required for a publicly-traded, global medical device company.
    • Global Legal Initiatives: Lead significant Legal Department and cross-functional initiatives.
Qualifications (Education/Experience/Competencies)

The position requires:

Education
  • Bachelor’s degree or its non-U.S. equivalent – required.
  • J.D. degree (or equivalent law degree) – required.
  • Advanced degree (MBA or other relevant credential) - preferred.
  • Specific training in healthcare compliance, privacy and related topics – preferred.
Professional Experience
  • 7-12 years of experience in a medical device, pharmaceutical, or other healthcare organization implementing a compliance program or related functions.
  • Expertise in Marketing or other fields considered if demonstrated to perform job duties.
  • Experience in Healthcare industry – Device, Pharma, or Biotech preferred.
  • English fluency required; fluency in Mandarin, Japanese, or other Asian languages preferred.
  • Ability to advise senior leaders on complex ethical and legal issues in APAC.
  • Excellent research, writing, and communication skills; ability to analyze complex matters and present clearly.
  • Strong organizational and time management skills with the ability to manage a heavy workload.
