key Responsibilities:
1. Compliance Management:

- ensure the company's compliance with all relevant legal and regulatory requirements, including statutory and governance obligations.
- Stay updated on changes in legislation and regulatory standards and advise the organization accordingly.

2. Corporate Governance:

- Establish and maintain corporate governance policies and practices, ensuring alignment with industry best practices and legal requirements.

3. Board Support:

- Coordinate and facilitate board meetings, including preparing meeting agendas, taking minutes, and maintaining official records.
- Company Registration and Maintenance:

- Manage the registration and incorporation of the company and clients.
- Maintain statutory registers and records, including the Register of Members and Register of Directors.

4. Corporate Filings:

- Ensure timely and accurate filing of statutory documents and annual returns with relevant government authorities.
- Monitor filing deadlines and submission requirements.

5. Legal Liaison:

- Serve as a point of contact between the company and its legal counsel.
- Collaborate with external lawyers on legal matters and corporate transactions.
- Liaise with 3rd party service providers in relation to company secretary related matters.

6. Risk Management:

- Identify, assess, and mitigate legal and compliance risks.
- Maintain records of insurance policies, claims, and legal proceedings.

7. Corporate Transactions:

- Provide legal and compliance guidance during mergers, acquisitions, and other corporate transactions.
- Ensure the company's legal interests are protected during such transactions.

8. Record Keeping:

- Maintain organized electronic and physical records of corporate documents, including articles of incorporation and bylaws.
- Provide monthly reporting to Management.

- Thorough understanding of corporate governance, legal, and regulatory requirements.
- Excellent organizational and multitasking skills.
- Strong communication and interpersonal skills.
- Attention to detail and a commitment to maintaining the highest standards of accuracy and compliance.
- Ability to adapt to changes in legislation and regulations.

**Salary**: $3,000.00 - $4,000.00 per month

Schedule:

- Day shift
- Monday to Friday

Supplemental pay types:

- 13th month salary
- Performance bonus

Work Location: In person
