One Tax CM is looking for an experienced, driven and customer centric individual to join our Corporate Secretarial Team as an Executive or Senior (depending on the years of experience the candidate has attained). This role is ideal for a candidate who sees him or herself purusing a career in this recession proof industry. In addition, the candidate should posses analytical skills, solution-driven approach, technical knowledge, leadership capabilities and a passion for client advisory and servicing. The candidate will manage a portfolio of clients, and play a key role in helping our clients incorporate new entities in Singapore (private limited and company limited by guarantee), providing routine regulatory compliance and high-quality corporate secretarial support.
Key Responsibilities:
- Provide support to the corporate secretarial team in handling of the routine corporate secretarial duties, regulatory compliance, corporate secretarial advisory, and the incorporation of new entities in Singapore (private limited and company limited by guarantee).
- Manage and maintain a potfolio of corporate clients, ensuring timely and accurate delivery of corporate secretarial services.
- Attend and take minutes for general meetings, board meetings, and board committee meetings.
- Review and provide advice on compliance requirements, corporate governance practices, and corporate secretarial matters in accordance with the Singapore Companies Act and ACRA guidelines.
- Draft and review directors' and shareholders' resolutions, relevant statutory forms, and supporting documents for corporate transactions (e.g., incorporation, restructuring, share allotments/transfers, striking-off).
- Liaise and coordinate with statutory bodies (e.g., ACRA), banks, auditors, and external business partners as needed.
- Implement best practices to improve internal processes and client satisfaction.
Requirements:
Corporate Secretarial - Executive
- Possesses degree or diploma in business administration, law, marketing, communications or accountancy. Candidates who are SAICSA qualified or is currently purusing the CGQP with CSIS would be advantageous.
- Minimum 2 years of corporate secretarial experience in professional services firms.
- Solid understanding of the Singapore Companies Act, corporate compliance regulations and governance frameworks.
- Must be pro-active, a good team player, and able to work under pressure and independently.
- Good command of spoken and written English with the ability to engage with clients and stakeholders professionally.
- Those who do not hold the relevant qualifications but with relevant working experience are most welcome to apply.
Corporate Secretarial - Senior
- Possesses degree or diploma in business administration, law, marketing, communications or accountancy. Candidates who are SAICSA qualified or is currently purusing the CGQP with CSIS would be advantageous.
- Minimum 4 years of corporate secretarial experience in professional services firms with at least 1 year in a supervisory or lead role.
- Solid understanding of the Singapore Companies Act, corporate compliance regulations and governance frameworks.
- Must be pro-active, a good team player, and able to work under pressure and independently.
- Good command of spoken and written English with the ability to engage with clients and stakeholders professionally.
- Those who do not hold the relevant qualifications but with relevant working experience are most welcome to apply.
- Candidate with relevant experience may be considered for senior position. Salary to commensurate with experience.
