**Counsel (Commercial and Contracts) - (APAC/Singapore)**

One attorney we look to hire will report into BitGo's General Counsel in the United States **[and will have a local reporting line as well]**. **This attorney's responsibilities will include**:

- Negotiating template and non-standardized contracts with customers and vendors, from the very simple to the very complicated.
- Creating customer agreements for various BitGo offerings, some of which may be based on templates used in other regions.
- Preparing training materials and commercial summaries.
- Reviewing marketing materials.
- Providing legal and commercial expertise in areas such as digital assets, financing transactions, secured transactions, payment, and/or intellectual property licensing.
- Coordinating with BitGo lawyers in other regions.
- Supporting certain corporate functions, including subpoena and document production efforts, governance, intellectual property/technology and HR/employment.
- Proactive identification of legal and commercial risks relating to new and existing products, and then working within the organization to mitigate these risks in a thoughtful manner.
- Pitching in whenever and wherever needed by our small but growing legal team, even if not directly related to responsibilities described above

**Your experience and skill set will cover many of the following**:

- 6-8 years of related law firm and/or in-house legal experience at a financial services company or crypto company.
- Significant experience drafting, reviewing and negotiating a wide range of business agreements, including at least some of the following: services agreements, software development and licensing agreements, trading agreements, financing agreements, procurement agreements, staking agreements, sponsorships and marketing services agreements.
- Fundamental understanding of, and experience with, the negotiation of warranties, limitations of liability and indemnity in a manner consistent with identified risk tolerance levels and commercial sensitivities.
- Familiarity with Singapore contract law.
- Comfort with negotiating and drafting agreements governed by US and other non-Singapore laws.
- Familiarity with data protection and the Singapore Personal Data Protection Act.
- Ability to balance multiple tasks in accordance with changing deadlines and priorities in a fast-paced environment.
- Interest in blockchain and digital assets.
- You will be collegial and (at least usually) able to retain a sense of humor.
