Job Description Summary

The principal functions include investment analysis, due diligence, investment recommendation and negotiation, and investment monitoring. This includes, but is not limited to, partnership and company modeling, qualitative and quantitative analysis of managers, capital structures, and relevant industries, and the coordination of the closing process. A Secondary Associate is expected to lead smaller transactions (from sourcing and analysis through closing) as the junior investment professional, while supporting senior investment professionals in larger transactions. In addition, a Secondary Associate will participate in tracking secondary investment performance and analyzing the results. These conclusions will be reported to investors through regular reporting channels, and the Dover Street Annual Meeting. Finally, a Secondary Associate is expected to contribute to group management through a number of administrative duties.

Job Skills and Abilities

A successful Secondary Associate should have a thorough knowledge of private equity markets and financial expertise, be able to work in a group, and perform under the pressure of deadlines. This individual should have the appropriate skill level to perform analysis and evaluate investment opportunities. In addition, it is expected that this person is dependable, demonstrates sound investment judgment, and is capable of making decisions in an efficient manner. As Secondary Associates are often the face of HarbourVest through their interaction with GPs, LPs, and other investors, it is expected that they have strong communication skills, both written and verbal as they will be representatives of the HarbourVest brand to those outside of the firm.

**Responsibilities**:
Investment Process: 50%

Perform in-depth analysis of potential secondary investments. This includes modeling of partnerships, individual companies and transactions, as well as qualitative and quantitative analysis of managers, capital structures, and relevant industries. Present findings to senior investment professionals within the Secondary Team. Prepare and present materials for Investment Committee review. Maintain dialogue during a deal with sellers, agents, and GPs as appropriate. Coordinate upfront legal and tax work. Build external relationships in the context of a deal for future investment opportunities.

Transaction Closing: 10%

Coordinate HarbourVest, seller, and any third party resources to close transactions. Review legal documentation, manage document flow, and prepare all documentation in accordance with HarbourVest closing policies.

Internal Process Improvement: 10%

Continual enhancement and improvement on current pricing methodologies and quantitative analysis. Maintain and update the secondary pricing model as appropriate. Create and build upon new model templates for unique situations. Coordinate the hiring and training of new associate hires.

Investment Monitoring: 10%

Perform analysis as necessary to evaluate secondary investment performance: update calls with General Partners, financial statement analysis, attendance at annual meetings, and primary and secondary research as appropriate.

Sourcing: 10%

Identify, contact, and introduce potential sellers to help drive deal flow. Expand ability and comfort level with sourcing.

Communication with Investors: 5%

Assist in the writing of letters to investors for regular reporting and for fund investment updates. Prepare annual meeting and reporting materials. Assist in updating marketing materials.

Management: 5%

Assist in the management and professional development of less senior investment staff and oversee the duties of Administrative personnel.

Education

BS/BA or equivalent required, Master's degree preferred
