Senior Legal Counsel

**What is the job like?**

Legal counsel to internal stakeholders on transactional and corporate legal matters. Trusted advisor to deal teams on legal and structuring topics. Two main areas of focus: (i) lender’s transaction counsel, and (ii) corporate legal counsel for the firm.
- **RC transaction counsel**

Ø Advise Regional Credit ( **RC **) on margin financing, (pre-) IPO financing, privatisation or GO financing, leveraged finance (financial sponsors), structured acquisition finance, syndicated structured loans, structurally subordinated credits, fund finance/capital call facilities, trade financing and other bespoke specialised financing for UHNW individuals or business founders against private wealth assets.

Ø Reviewing financing & security documentation drafted by external counsel (save for BAU margin finance, internal standard forms will be used), instructing external counsels (as Lenders counsel) counsel on various financing transactions covering loan structuring matters, intercreditor issues, and/or cross-border elements and security perfection.

Ø Running RFPs for Lenders’ counsel engagement, work closely with lending principals & coverage teams. Provide legal advice, dispensing appropriate structuring (legal) mitigations for transactions.

Ø Owner of the firm’s standard form margin financing template documentation across SG and HK. Continuous review and update of these standard form template agreements, ensuring they are fit for purpose.

Ø Actively contribute to Regional Credit projects, initiatives and other cross-regional team projects.
- **In-house corporate legal counsel**

Ø Review, advise, structure and recommend legal solutions/advice/mitigations (as the case may be) to new (and variations of) products and services and solutions, ensuring adequate protections and compliance with firm’s policies.

Ø Reviewing external counterparty agreements.

Ø Liaise and coordinate with company secretary, external solicitors and other third-party advisors on various legal, corporate and/or litigation matters.

**Who are we looking for?**
- Qualified lawyer for Singapore law (and, English law and/or HK law, will be an advantage).
- 5 - 8 years’ PQE either in a private practice or in house legal environment
- Experienced in transactional work including experience in lending transactions, secured loans and other banking matters.
- Good knowledge of both legal and regulatory risk associated with the banking & finance space (experience with stock brokerage firms will be an advantage).
- Strong analytical skills and an ability to demonstrate sound legal judgment. Having a positive attitude with a willingness to learn
- Articulate, good drafting skills and highly effective in English
