**Job Purpose**

Reporting to the East Asia and Australia (E2A) Region Legal Director, the Legal Counsel is responsible for ensuring the company’s overall legal and ethical compliance across its entities (including Joint Ventures and recently acquired entities) and operations within the designated perimeter across the region. This includes providing expert legal advice, managing risk, and supporting internal stakeholders in various areas of law and business operations to ensure alignment with local laws, regulations, and the Group’s global compliance framework.

**Main Missions**

1. _Legal Advisory and Regulatory Compliance- Monitor and interpret applicable laws and regulations across the region and advise the business on necessary adjustments to remain compliant.
- Provide timely, accurate, and business-oriented legal advice to all internal stakeholders across various domains of law including commercial, antitrust, consumer protection, privacy, labor, business ethics, and all other regulatory matters (with the exclusion of corporate law).
- Anticipate legal risks and propose practical and strategic mitigation measures that safeguard the company’s interests while enabling business ambitions.
- Serve as the first point of contact for legal consultations across the region and ensure legal risks are properly managed.
- Support business negotiations with third parties, administrations, and partners, ensuring legal robustness in all agreements.

2. _Contract Management and Negotiations- Draft, review, and negotiate a wide range of commercial contracts including franchise, distribution, supply, partnership, licensing, and marketing agreements.
- Serve as the primary legal point of contact for specified business lines and/or countries within the region perimeter.
- Ensure alignment of regional contracts with group templates (including those of the business lines), internal policies, and local legal frameworks.
- Provide support in implementation and continuous use of the Contract Lifecycle Management tool in the region.

3. _Ethics and Compliance Programs- Ensure implementation and enforcement of Group compliance programs in the region, including without limitation those pertaining to anti-corruption, antitrust, privacy, and export control (with the exclusion of Intellectual Property related programs)
- Participate in country level Ethics Committee meetings and ensure adherence to Group ethics procedures in coordination with the Security team and investigate ethics cases on an ad hoc basis.

4. _Litigation Management- Supervise litigation matters in the region in collaboration with external counsel.
- Manage selected cases efficiently, ensuring efficient handling and proper alignment with company strategy and risk tolerance.

5. _Internal Training and Knowledge Sharing- Train internal teams on compliance and relevant legal topics (antitrust, privacy, marketing and communications, anticorruption, etc.)
- Translate complex legal concepts into accessible and practical guidance to build legal literacy within the business.

- Ethical Governance: Actively contribute to a strong culture of ethics and compliance by supporting governance structures such as the Ethics Committee.
- Litigation Oversight: Ensure litigation cases are duly managed, minimizing exposure and aligning with company objectives.
- Internal Capability Building: Improve internal understanding of legal and compliance obligations through training, clear communication, and practical advice.
- Autonomous Delivery with Strategic Reporting: Deliver responsibilities independently while keeping the General Counsel informed on high-priority topics.
