Regional Legal Counsel

**Job Purpose**:
**Key Responsibilities**:
Legal
- Provide business oriented legal advice to ensure adherence to applicable law and regulations.
- Provide legal support on regional or special projects and work closely with AZAP OEs' local legal teams in relation to such regional or special projects, in alignment of the Group / Regional strategic direction.
- Provide legal and regulatory advice and transaction support for M&A and joint venture transactions in the Asia Pacific region, including regional partnerships, strategic corporate transactions and similar matters (with support from external legal counsel as applicable).
- Identify and ensure that AZAP adheres to all relevant Singapore legal requirements.
- Ensure and monitor that the Regional Legal function has consistent quality standards for drafting and vetting of agreements. Responsible for negotiating and drafting a range of commercial agreements, ranging from NDAs and simple commercial contracts to complex cross border transactional documents.
- Anticipate future trends and risks in regulation and compliance and incorporating those into advice and business practices, as well as formulating the strategic plan for the Regional Legal function.
- Provide support on corporate governance and corporate secretarial matters of AZAP and AZAP OEs.
- Provide training to employees regarding legal topics (as required).

Data Privacy
- Advise on (i) data privacy related queries, including review of data privacy related content in agreements, privacy statements and notices, and (ii) data privacy risks related to partnerships, joint ventures and other M&A related matters.
- Support the Regional DPO in identification, management and mitigation of data privacy related risks and compliance with relevant data privacy and data protection laws in the Asia Pacific Region.
- Support the conduct and implementation of global data privacy governance initiatives such as privacy impact assessments and data privacy reviews for the AZAP OEs.
- Coordinate and monitor the implementation of global data privacy projects.
- Monitor and anticipate future trends and risks in privacy regulations and enforcement and incorporating those into advice and business practices.
- Provide training to employees regarding data privacy topics (as required).

**Key Requirements**:
Technical skills:

- Sound experience working on commercial and transactional contract negotiation and management
- Strong legal drafting skills with high attention to detail

General skills:

- Self-motivated and have ability to work independently
- Strong analytical, thinking and implementation skills and ability to problem-solve
- Strong communication and interpersonal skills required
- Ability to multitask and handle multiple deals / timelines

Required experience:

- Experience reviewing, drafting and negotiating legal agreements
- Experience working in a major law firm required
- Fluent verbal and written English and Mandarin
- Experience / knowledge in applicable data privacy laws
- Proven team player and ability to establish and maintain working relationships with colleagues from different backgrounds, functions and cultures
- Experience advising internationally across multiple jurisdictions, particularly in the Asia Pacific region a plus
- Prior experience advising or working in the insurance or financial services industry a plus
