We are seeking an experienced and dynamic Legal Counsel to join our in-house legal team, with a primary focus on mergers & acquisitions (M&A). The successful candidate will play a key role in structuring, negotiating, and executing acquisitions, divestitures, joint ventures, and other strategic transactions. Additionally, the role will involve handling general corporate and commercial contracts, providing legal support across the business, and ensuring compliance with relevant laws and regulations.

Key Responsibilities:

Mergers & Acquisitions (Primary Focus – 70%):

  • Provide legal advice and transaction support on M&A transactions, joint ventures, and new projects worldwide (with support from external legal counsel, where required).
  • Identify and address legal risks and negotiate with counterparties.
  • Collaborate with commercial, technical and financial teams on the transactions.
  • Draft, review, amend and update transaction documents and related commercial agreements and corporate documents (with support from external legal counsel, where required).
  • Manage and coordinate legal workstreams across relevant jurisdictions.

General Corporate & Commercial Contracts (30%)

  • Draft, review, and negotiate a variety of commercial agreements, including supply contracts, distribution agreements, NDAs and vendor contracts.
  • Provide legal support to business teams on corporate governance, compliance, and risk management.
  • Assist with general legal queries as needed.
  • Develop and maintain contract templates and legal processes to improve efficiency.
  • Work closely with external legal counsel to ensure the quality of service and manage fees.

Qualifications & Experience

Technical skills:

  • Strong cross-border M&A experience and proven track-record of executing M&A transactions.
  • Direct deal experience including drafting, negotiating and managing transaction documents (including SPAs and SHAs) and coordinating cross-functional deal teams.
  • Sound experience in corporate law and corporate governance.
  • Strong legal drafting skills with high attention to detail, and experience working on complex legal agreements and transaction structures.
  • 4 to 7 years post qualification experience.

Education / Qualifications:

  • Law degree (LLB) or equivalent.

Qualified to practise as a lawyer in Singapore or England.

  • Self-motivated with ability to work independently.
  • Strong analytical, thinking and implementation skills and ability to problem-solve and provide pragmatic solutions.
  • Strong communication skills and ability to interact with business leaders and colleagues from different backgrounds, functions, countries (in different time zones) and cultures.
  • Ability to handle multiple workstreams within stipulated timelines.
  • M&A experience in the manufacturing and fertiliser industry a plus.
