Job Title: Corporate Legal Specialist for Regional Office.

The regional office of an organization seeks a highly skilled and experienced cross-border transaction lawyer to oversee the legal affairs of its Singaporean operation, as well as group companies in Southeast Asia & Oceania region. As an integral part of corporate governance framework, this role is responsible for ensuring that all internal rules and policies are prepared and adhered to within the region.

Responsibilities:
  • Legal Advisory (Regional Context)
    • Drafting, reviewing, and negotiating commercial contracts, agreements, and legal documents for local business operations.
    • Providing legal support and advice for day-to-day business activities, commercial projects, and cross-border transactions.
    • Offering legal advice and support to management and various departments/divisions on a broad range of corporate, commercial, regulatory, and operational matters.
    • Supporting business units in identifying legal risk, developing mitigation strategies, and facilitating sound decision-making processes.
    • Managing and coordinating dispute resolution matters, including liaising with external counsel for litigation, arbitration, or settlement negotiations.
    • Ensuring business operations and commercial activities comply with relevant trade, competition, and sector-specific regulations.
  • Regulatory Compliance Support and Management
    • Developing, updating, and implementing internal policies and group compliance programs within local operations.
    • Ensuring group companies comply with applicable local laws and regulations, including those relating to economic sanctions-related matters, competition laws, and industry-specific requirements.
    • Conducting legal and compliance training sessions for employees and management to promote awareness and adherence to relevant regulations.
  • Support Corporate Governance Framework Development
    • Assisting in developing and reviewing corporate governance framework, policies, and procedures to align with legal requirements and industry's best practices.
    • Supporting the implementation of group-level governance standards across local group companies.
    • Promoting sound governance practices and adherence to the group's ethical standards and policies.
  • Transactional & Project Support
    • Offering legal support for corporate restructuring, M&A transactions, joint ventures, or business transfers affecting group companies within the region.
    • Monitoring legislative and regulatory changes, assessing their impact on regional offices and group companies, and recommending improvements to compliance programs.
    • Assisting in reviewing and advising on cross-border transactions or agreements in collaboration with regional legal teams.
  • Stakeholder & External Counsel Management
    • Serving as the primary legal point of contact for local group companies, liaising with head office legal division on legal-related inquiries and issues.
    • Managing engagements with external law firms, including overseeing service quality, cost management, and providing instruction on legal matters.
