Roles & Responsibilities

Job Summary

We are seeking a highly skilled and motivated Legal & Compliance Manager to oversee and manage the company's regulatory and compliance framework. The ideal candidate will ensure adherence to local and international regulations, including licensing requirements, Anti-Money Laundering (AML) policies, and Know Your Customer (KYC) and Know Your Business (KYB) protocols.

Key Responsibilities:

Regulatory Compliance & Licensing

  • Lead the application and management of regulatory licenses, including submissions to the Monetary Authority of Singapore (MAS) and other relevant authorities.
  • Stay updated on applicable laws and regulations governing cryptocurrency and financial services industries.
  • Liaise with regulators and ensure timely reporting and communication on compliance matters.

AML/CFT Program Management

  • Design, implement, and maintain a robust Anti-Money Laundering (AML) and Counter Financing of Terrorism (CFT) compliance framework.
  • Conduct periodic AML risk assessments for the business and its products.
  • Ensure compliance with MAS guidelines, including TRM (Technology Risk Management) and PSN01 requirements.

KYC and KYB Processes

  • Develop and manage KYC/KYB policies to onboard customers and business partners effectively.
  • Oversee customer due diligence (CDD) and enhanced due diligence (EDD) processes for individuals and corporate entities.
  • Regularly review and update KYC/KYB processes to ensure alignment with regulatory expectations.

Policy Development & Implementation

  • Draft and implement compliance policies, procedures, and controls tailored to business activities.
  • Provide training and guidance to internal teams on compliance best practices and emerging risks.

Monitoring and Reporting

  • Conduct internal audits to ensure adherence to compliance policies.
  • Monitor transactions for suspicious activity and report suspicious transactions (STRs) as required.
  • Maintain records of compliance activities, audits, and findings.

Collaboration

  • Work closely with product, operations, and legal teams to embed compliance in business processes.
  • Support the development of new products by providing compliance guidance and risk assessments.

Review Various Types of Contracts

  • Conduct legal reviews of various contracts to ensure compliance with applicable laws and alignment with company interests;
  • Identify, assess, and mitigate potential risks within contracts, providing recommendations for amendments as needed;
  • Regularly update standard contract templates to ensure consistency with the latest legal and regulatory changes.

Draft Contracts Based on Business Needs

  • Draft tailored contracts according to the specific requirements of business units, including but not limited to procurement, sales, cooperation, and service agreements;
  • Ensure that contract terms are clear, precise, and enforceable, minimizing the risk of disputes or ambiguities;
  • Collaborate with relevant business departments to confirm contractual details and support the achievement of business objectives.

Due Diligence for Investment and Acquisition Projects

  • Support investment and acquisition initiatives by conducting legal due diligence, reviewing the target company's legal documents, and identifying operational risks;
  • Provide legal and compliance assessment reports to identify and address potential risks in transactions;
  • Assist in drafting or revising investment agreements, acquisition agreements, and other related legal documents, as well as supporting negotiation processes.

Legal Research and Analysis in Industry-Specific Areas

  • Monitor developments in industry-related laws and regulations, providing timely policy interpretations and updates;
  • Conduct in-depth legal research and analysis on specific fields or issues, preparing detailed reports as required;
  • Offer legal consultation and support to business units, enhancing the company's proactive approach to compliance management and risk mitigation.

Key Requirements Qualifications

  • Bachelor's degree in Law, Compliance, Finance, Business, or a related field.
  • Professional certification in AML (e.g., CAMS) or compliance is a plus.
  • Minimum 3 years of experience in regulatory compliance, preferably in cryptocurrency, fintech, or financial services.
  • Hands-on experience with MAS regulations and licensing processes.
  • Proven track record in managing AML, KYC, and KYB programs.
  • Strong understanding of cryptocurrency and blockchain technologies.
  • Excellent analytical and problem-solving skills.
  • Ability to manage multiple projects and meet deadlines.
  • Effective communication and stakeholder management skills.
  • Fluency in English is required; proficiency in Mandarin is a plus..
