**egal Counsel - Corporate, Investment & Commercial**

We are partnering with a fast-growing group with diverse investments across sectors. As part of their expansion, they are seeking a sharp and business-oriented **Legal Counsel**to join their dynamic team. This is an excellent opportunity for someone who enjoys working closely with management on strategic initiatives, M&A, and legal operations in a fast-paced, collaborative environment.

**Key Responsibilities**:
**General Legal Advisory**
- Provide sound, practical legal advice to senior management and project teams on a wide range of corporate and commercial matters.
- Address legal queries from business development, operations, and other internal functions with a solution-oriented approach.
- Oversee and manage external legal counsel, ensuring efficient budget control and quality of service.

**Investment & Commercial Transactions**
- Support the investment team on M&A, joint ventures, and strategic investments across different sectors.
- Participate actively in negotiations and contribute legal expertise to project execution.
- Coordinate with external counsel to ensure transactions are executed efficiently and cost-effectively.

**Dispute Resolution**
- Work with external legal counsel on disputes including litigation, arbitration, and mediation.
- Provide strategic guidance to manage legal risks and ensure effective case handling.

**Corporate Secretarial Oversight**
- Supervise corporate secretarial matters (in-house or outsourced), including entity setup/closure, board/shareholders’ resolutions, and regulatory filings with ACRA/IRAS.
- Coordinate board and shareholder meetings and ensure statutory compliance across group entities.

**Requirements**:

- Degree or Master of Laws from a recognized university.
- 3-5 years of experience in a corporate legal or in-house legal role.
- Strong exposure to commercial contracts, M&A/JV transactions, and general corporate governance.
- Fluent in English and Mandarin to liaise with Mandarin-speaking counterparts and China HQ.
- Business-minded, collaborative, and solutions-driven.
- High integrity with a strong sense of professionalism and discretion.
