Our client is a real estate development company based in Singapore with businesses around Asia. The role of a Legal and Compliance (Senior Executive /Assistant Manager) is to be responsible for assisting to build up their business and project from the point of legal & compliance.
Reporting to Senior Admin Manager
【 What you will be doing 】
Legal & Compliance Support
- Provide support and advice to internal stakeholders from legal (contractual) and compliance perspectives
- Drive and support continuous improvement initiatives such as reviewing policies and processes of the legal and compliance function
- Conduct internal inspection/assessment, identify areas of legal and compliance risk, suggest appropriate controls, and ensure compliance controls are implemented
- Keep abreast of regulatory developments and update existing compliance policies and procedures accordingly
- Facilitate periodic training to promote a high level of compliance awareness such as personal data protection, Anti-bribery, and Anti-competition, etc.
- Responsible for ensuring processes and documentation for the request for approval (RFA) are in accordance with internal regulations and policy
- Provide necessary support and guidance to internal stakeholders on RFA procedures and internal regulations
- Review contracts which put up for approval and ensure all contracts comply with internal regulations.
- Act as a liaison between internal stakeholders and external lawyers in relation to legal advice and its interpretation and management of legal cost

Corporate Secretarial
- Provide support and guidance with respect to corporate governance and company secretarial matters to facilitate the execution of corporate transactions
- Prepare/draft directors/shareholders’ resolution and AGM/EGM related documents for all entities, including overseas projects in Vietnam
- Co-ordinate with Vietnam branches for the signing of agreements/documents
- Liaise with company secretary on submission of annual returns
- Seek advice on secretarial matters with the corporate secretary if necessary

Lease Agreement Support (Master Lease)
- Liaise, develop and maintain a strong relationship with the landlord
- Carry out a contractual obligation under the master lease agreement with the landlord such as notifications and submission of documents
- Coordinate and assist in preparation for rent review exercise
- Liaise with external lawyers on legal advice related to master lease agreement

Others
- Any other duties as may be designated by management
- ** Requirement**:

- Bachelor’s Degree, preferably in Law or equivalent.
- At least 4-5 years of relevant experience in Legal (Corporate) or Compliance.
- Familiar with corporate and commercial law.
- Strong critical and analytical skills
- Willing to do Overtime & comfortable with a fast-paced environment
- Able to keep abreast of the latest information from various government and regulatory websites
- Able to independently carry out legal research and propose a plan to managers and stakeholders
- ** Working Hour**: 9:00 ~ 18:00
