Legal Counsel

This is a great opportunity for a highly motivated lawyer to join Corio Generation’s rapidly growing global offshore wind business as Legal Counsel in the team supporting Corio’s activities in the APAC region.

Corio is a specialist developer of offshore wind projects, responsible for the successful development of a 20+ GW pipeline of projects and the origination of new opportunities and partnerships, as well as the provision of asset management and advisory services to third party investors.

You will be based in any of Singapore, Melbourne, Taipei or Seoul, reporting to the Head of Legal for APAC in Singapore, working alongside secondee Legal Counsels. You will be working with colleagues from across Corio pursuing new opportunities (through project acquisitions, the formation of joint ventures and participating in government tender processes), supporting Corio’s ongoing development of projects and helping with various legal aspects of Corio’s central platform, which is headquartered in London.

We are looking for a positive, collaborative lawyer with at least6 years’ PQE who is passionate about contributing to the green transition and is excited by the challenge of providing high-quality legal support in a demanding, dynamic and supportive environment.

**Key responsibilities**
- Providing internal legal support to Corio’s transaction teams when pursuing new opportunities in APAC, including acquisitions, divestments, financings, forming joint ventures and managing interests in projects during development and into construction.
- Working on a wide range of contracts (including MoUs, term sheets, Joint Development / Bidding Agreements, NDAs, engagement letters and exclusivity letters) to proactively support the pursuit of early-stage opportunities by Corio.
- Providing support to Corio’s transaction teams, alongside external counsel, on share purchase agreements, shareholders’ agreements, credit support agreements and similar and related documents, including to protect Corio’s interests and drive towards consistency of approach.
- Supporting Corio teams with understanding the legal aspects of acquisition due diligence and the development of projects in different jurisdictions (either solely by Corio or alongside development partners), based on advice from external counsel.
- Identifying, explaining and helping to mitigate legal risks and assisting deal teams with obtaining approvals (both within Corio and from Macquarie’s Green Investment Group as Corio’s sole shareholder).
- Providing legal support to the Corio platform in APAC, including platform-level service contracts, intragroup services/funding agreements and a wide range of commercial contracts.
- Working with the Corio asset management team on Corio’s ongoing involvement with projects in development and then eventually into construction and operations (noting that specific projects will have internal and external legal resources, and with input also being provided by the separate construction law specialists within Corio Legal).
- Helping with the selection, engagement and management of Corio’s external legal advisers on each transaction.
- Collaborating with other teams within Corio Legal (which includes specialists in construction law, compliance and company secretarial matters, as well as the legal team responsible for Corio’s activities in Europe and the Americas) and across Corio more widely.
- Helping to identify and manage compliance with all applicable laws and regulations relevant to Corio’s operations in each jurisdiction (including in respect of competition, merger control and foreign direct investment requirements in each jurisdiction, with advice from external counsel).
- Developing and improving procedures, precedents and guidance to assist Corio Legal and all other teams within Corio.

**Requirements**:
Experience as a corporate/projects/M&A/finance lawyer with good knowledge of the legal aspects of M&A and joint venture transactions in connection with energy/infrastructure projects, ideally including some experience of offshore wind projects and project financing.

Experience at a leading law firm and/or reputable in-house legal team, ideally with knowledge of the key elements involved in developing, financing, constructing and operating projects.

Enthusiasm and confidence interacting with colleagues, counterparties and other stakeholders, instructing external counsel and working on transactions in different jurisdictions, often on high-pressured timeframes.

Strong problem solving and project management skills, with an ability to demonstrate resilience and manage competing demands.

Flexibility to operate within different legal / regulatory environments within the APAC region and the ability to identify key risk areas and potential mitigants and solutions.
