Morgan, and Temasek have developed an open industry platform to reimagine and accelerate value movements for payments, trade and foreign exchange settlement in a new digital era, through a newly established technology company, Partior.

Designed as a global shared ledger, Partior aims to disrupt the traditional cross-border payment by leveraging on blockchain technology to reduce current frictions and latency, minimizing post transaction exception handling and reconciliation activities.

Key distinguishing features are around privacy solution, complete decentralized hosting and consensus efficiency - providing a commercial scalability which enables it to be a platform of choice for hosting multiple CBDCs and commercial bank digital currencies.

To encourage broad participation across the banking industry, Partior will be actively engaging leading banks to join the platform to establish the scale required to benefit the industry. The platform will start with a focus on facilitating flows primarily between Singapore-based banks in both USD and SGD, with the intent to expand service offerings to other markets and in various currencies.

**Position: Product & Commercial Counsel**

**Key Professional Requirements**
- Minimum of JD, LLB (Bachelor of Laws) from a recognized and reputable university.
- Minimum 8 years of experience practicing law.
- Active Bar Membership in jurisdiction where required.
- Minimum 2 years of in-house experience in a financial institution or technology company (web3/ blockchain/ fintech).
- Experience in working on Commercial Deals and Product Counselling in financial technology, web3/ blockchain/ distributed technology is highly desirable.
- Experience with legal matters in relation to: payments and/or financial services regulation, blockchain/ distributed ledger technology (DLT) and cybersecurity matters.

**Responsibilities**

**Supporting Commercial Business Development & Customer Success Strategy**
- Draft, review, maintain and negotiate a wide variety of commercial contracts, including master service agreements, non-disclosure agreements, addendums, schedules, statement of work, memorandum and other types of legal documents for services and products provided to financial institutions and other business entities, as needed.
- Perform legal research and analysis on commercial contract and information technology law issues, as well as software licensing, payment processing and payment services, including data security and privacy, technology development, and commercial services to ensure that contractual provisions are up to industry standard.
- Administration and resolution of legal issues and contract interpretation matters that arise in existing commercial relationships.
- Support business teams to meet contractual and legal obligations such as assisting in the completion of legal diligence, audit oversight, policies development, etc.

**Product Counseling**
- Monitor the development of the law in the web3/ blockchain and fintech space to provide legal guidance on design and modification of product to product, engineering, design, and go-to-market teams on issues related to new and existing products and features throughout the entire product development lifecycle
- Proactively identify associated risks and recommend mitigation strategies.
- Actively cultivate creative ideas and insights into how legal frameworks can support new product developments and customer experiences. Develop trusted relationships to facilitate a coordinated team approach to launching new products and features.
- Respond promptly to a wide range of complex legal requests and coordinate closely with your team and outside counsel to deliver practical, timely and high-quality advice.

**Development and Maintenance of the Rulebook and other Operating Document**
- Develop, maintain and update the rulebook and other technical and operational documents to ensure it reflects existing and new products, use cases, features, and functionalities as well as expansion of product offering in new markets.
- Track and reconcile obligations of rulebook and other technical document in support of new products and partnership.

**Terms of Use, IP and Brand Development**
- Draft clear and concise public facing disclosures, disclaimers, terms of use, and other external or public facing communications.
- Review marketing collateral, business presentations, and other external communications such as press releases, website development, etc.
- Manage and be responsible for Partior’s intellectual property matters including all aspects of registration of IP, protection of IP (including IP litigation) and technology and data licensing.
