**Job Purpose**
The job holder is responsible for the effective and efficient support to Legal & Risk Management matters in Asia Pacific Region.
We also enhance a group governance and strengthen compliance/risk management system to strongly support our business and challenge for a better society.
**Main Roles and Responsibilities**
**1. Legal Support**
- Review and draft contracts and other legal documents (Distributorship Agreement, Purchase Agreement, NDA, legal notice and others), and negotiate with the other party as needed.
- Research laws & regulations in Asia Pacific Region, and provide legal advice in consultation with external law firms case by case.
- Prepare contract formats and guides in response to common practice or demand in each business unit or country and establish and maintain Legal Database for APAC.
- Support managing and solving litigations and disputes in cooperation with external law firms.
**2. Compliance Activities**
- Investigate whistle-blowing cases, misconducts by employees and other non-compliance cases.
- Support establishment of system for compliance with PDPA and other regulations.
- Prepare and execute training and legal check regarding risk management & compliance, such as ethical conduct, anti-fraud, anti-cartel, anti-corruption and contract management.
- Draft and arrange guidelines, checklists and forms related to compliance.
**3. Risk Management and Governance Activities**
- Risk Analysis and updates of various risk information
- Support to Business Continuity Plans/Management for all entities in APAC, such as BCP office under COVID-19
- Holding annual meetings for Risk Managers from each business unit in respective APAC country
- Operate the global system to govern affiliated companies through OMRON Group Rules & Policy
- Support to Corporate Governance and Director Meeting for GRC activities
**4. Project Support**
- Support various projects from the viewpoints of risk management & legal, including PMI, start-up of new business, alliance with other companies and establishment of legal entities.
- Join and contribute to Global Legal/Risk Management Projects for whole OMRON Group which HQ in Japan takes lead internationally.
**5. Liaison to Global Headquarter and support to team management**
- Reporting various activities, investigation results, incidents, crises, etc. in response to HQ requests in Japan
- Budget negotiation with HQ in Japan and business units

- Managing Directors, managers and staff from sales offices, factories, headquarters in APAC
- Manager and staff of Risk Management/Legal departments in other regions and Japan HQ

- Law Firms, Consulting Firms, Accounting Firms & Relevant Authorities
- Vendors, including translation agency
**Job Requirements & Qualifications**
**Academic & Professional Qualifications**
- Degree in Law
- Call to the Bar
- Certification of Certified Internal Auditor, Accountant or Certified Fraud Examiner
**Achievements & Experience**
- Totally over 13 years of experience in law firm, legal department and/or other department carrying risk management function (ex. Internal Audit, Health & Safety)
- Practice for more than 8 years as in-house counsel and experience to manage Enterprise Risk Management
- Full experience of drafting contracts, rules, legal opinions, notice letters and/or other formal documents
- Working experience in Japanese Company with deep understanding of Japanese work processes & culture
- Working experience in Industrial Automation industry
