**Job Dimensions**
- TEGPA is focused on trading activities (in the physical and derivatives markets) in the Asia Pacific region with respect to LNG, gas & power and dry bulk products such as petcoke and sulphur, as well as LNG and renewables business development activities in the same region with relation to those products. Specifically with respect to LNG, in addition to its long-term contracts for the purchase of LNG destined for the Asian market and its long-term sale contracts with Asian buyers, TEGPA is very active on the physical spot market.
- As part of the Trading Division in the Company’s Gas, Renewables and Power segment, TEGPA works closely with the Geneva Branch of TotalEnergies Gas & Power Limited (another subsidiary which undertakes the same activities but without a specific focus on the Asia Pacific) and with the Gas Division’s head office teams in Paris. TEGPA also takes care of the activities of its affiliate in Australia, TEGPAu.
- The position is based in Singapore, working with two experienced lawyers as a team of three. TEGPA’s lawyers work closely with TEGPA’s trading, long term marketing and business development teams in Singapore, the Trading Business Unit’s management and support teams in Geneva and the LNG Business Unit’s management, commercial, contract management, business development and support teams based in Geneva and Paris. The holder of this position will be primarily focused on LNG activities but will also support TEGPA’s Singapore-based gas & power and dry bulk traders and TEGPA’s other non-LNG business development activities (primarily regional gas & power).**Activities**
- Legal support to (i) TEGPA’s LNG, power and dry bulk trading teams in the drafting and negotiating of the contractual documentation required for short and medium term supply and sales contracts (e.g. NDAs, HOAs, tender documentation, master agreements and associated confirmations, term sale and purchase contracts), (ii) the long-term commercial teams responsible for the negotiation of long term supply and sales contracts; and (iii) the contract management teams responsible for the management and administration of TEGPA’s contractual portfolio.
- Legal support to the Singapore and Paris based business development teams in the drafting and negotiating of the pre-project agreements (e.g. NDAs, HOAs, MOUs, joint development agreements) and the project agreements (e.g. joint venture agreements, shareholders’ agreements, O&M agreements, EPC contracts, power purchase agreements, gas sales agreements, service and secondment agreements) required for the business development tasks being undertaken in the region.
- Legal support for the Adani TotalEnergies LNG Singapore joint venture (ATLS) activities.
- Conduct associated due diligence activities, regulatory reviews and coordinate with specialist teams inside the Company (e.g. competition law, regulatory, compliance, sanctions, HSE, M&A, finance) as well as external counsel as required.
- Legal support for TEGPA’s other teams as needed (e.g. for Finance in relation to credit and trade finance matters).
- Provide broad legal support to ensure proper administration of TEGPA’s, TEGPAu’s and ATLS’s corporate governance functions and their compliance with licensing and other regulatory requirements.
- Manage (with an external service provider) corporate resolutions and other corporate secretarial matters for TEGPA, TEGPAu and ATLS. Maintain TEGPA’s contract database and its contract data in the internal BOOK trade management system. Assist in the development of systems, policies and guides on legal, governance and regulatory issues.
- Work closely with TEGPA’s (and the Trading and LNG Division’s/Company’s) management and other business and support teams in order to effectively co-ordinate projects and ensure the provision of constructive and relevant legal input to support the business strategy.
- Monitor and ensure other lawyers and TEGPA’s business and other support functions are aware of legal issues relevant to their area of expertise and proactively work with them to manage legal risks. Generally contribute to the sharing of knowledge and expertise within TEGPA, the TradingDivision, the Gas, Renewables & Power segment and the Company.
- Legal support for any disputes with commercial counterparts, and implement legal strategies to achieve their optimal resolution.
- Identify and appoint external counsel as appropriate and manage them (and their costs) effectively.
- Participate in and contribute to the activities of internal legal workgroups in Singapore and the broader Company.

- The business environment is volatile, uncertain and highly competitive.
- The role involves working over multiple time zones (principally Asia and Europe) and the position could require business travel particularly in Asia and Europe, often on short notice.
