Overview

We are seeking a highly motivated Corporate Lawyer with 3-5 years PQE. This role will primarily focus on offshore corporate, investment funds, and finance transactions, including mergers and acquisitions (M&A), joint ventures, secured and unsecured financing arrangements, preference share issues, IPOs, and capital markets transactions. The ideal candidate will have strong experience in U.S. capital markets and private M&A, with a solid foundation in corporate law.

Key Responsibilities
  • Advise clients on a broad range of corporate transactions, including offshore corporate structuring, investment funds, joint ventures, and corporate finance.
  • Lead and support M&A transactions, including due diligence, negotiations, drafting of transaction documents, and structuring of deals.
  • Assist in the structuring and execution of financing arrangements, including secured and unsecured debt financing, preference share issues, and capital markets transactions.
  • Provide advice on U.S. capital markets, including IPOs, securities offerings, regulatory compliance, and SEC filings.
  • Collaborate with cross-border teams to manage and execute complex, multi-jurisdictional transactions.
  • Draft and negotiate transaction documents, such as share purchase agreements, investment agreements, and financing documents.
  • Stay current on changes to corporate and securities laws, particularly U.S. capital markets regulations, and provide strategic guidance to clients.
  • Provide practical legal solutions that balance client objectives with legal risks.
Key Requirements
  • Qualification: Qualified lawyer from a Commonwealth jurisdiction (e.g., Singapore, the UK, Australia, New Zealand, Hong Kong).
  • 3-5 years of PQE in corporate law.
  • Strong experience in U.S. capital markets, particularly in IPOs, securities offerings, and SEC compliance.
  • Significant exposure to M&A transactions, joint ventures, and private equity deals.
  • Experience in structuring and advising on offshore corporate finance and investment fund transactions.
Skills
  • Strong technical knowledge of corporate and securities law, particularly U.S. regulations.
  • Ability to manage complex cross-border transactions.
  • Excellent drafting and negotiation skills.
  • Proficiency in Mandarin is desirable but not essential.
