Primary Responsibilities
- Financing Management and Capital Planning
Develop and execute the company's medium-to-long-term financing strategy and annual financing plans to ensure adequate funding for operations and growth.
Establish and maintain strong relationships with domestic and international financial institutions, including banks, securities firms, trusts, funds, private equity, and venture capital.
Lead or participate in various financing projects, including but not limited to debt financing (bank loans, bond issuance), equity financing (private equity, strategic investments), and other innovative financing instruments.
Prepare financing-related business plans, financial models, roadshow materials, and lead financing negotiations and agreement signings.
Monitor and analyze the company's capital structure, funding costs, and liquidity risks, proposing optimization recommendations.
- IPO Preparation and Execution (U.S./Hong Kong)
Listing Feasibility Study: Conduct in-depth research on listing rules, regulatory requirements, and market environments of U.S. exchanges (e.g., NASDAQ, NYSE) and the Hong Kong Stock Exchange to provide decision support for selecting the optimal listing venue and timing.
Intermediary Coordination: Serve as the core internal coordinator, comprehensively managing relationships with listing-related intermediaries (including investment banks, lawyers, auditors, etc.) to ensure efficient project advancement.
Financial Compliance & Audit: Lead or closely support financial due diligence, historical financial statement review and adjustments required for listing. Ensure financial records comply with U.S. Generally Accepted Accounting Principles (US GAAP) or International Financial Reporting Standards (IFRS) and regulatory requirements of the listing jurisdiction.
Prospectus Preparation and Filing: Responsible for or coordinating the preparation of the financial sections and related business data in the prospectus, ensuring the authenticity, accuracy, and completeness of information. Assist in communications, feedback, and filing with securities regulators (e.g., U.S. SEC, Hong Kong Stock Exchange).
Internal Standards and Compliance Framework Development: Drive the establishment and refinement of internal control systems, corporate governance structures, and financial management systems (e.g., SOX compliance) that meet listed company standards.
- Investor Relations and Market Capitalization Management (Post-IPO)
Assist in establishing and maintaining investor relations, participate in preparing earnings conferences, investor roadshows, and related activities.
Monitor company stock prices and capital market trends, analyze peer company performance, and provide market capitalization management recommendations to management.
- Team Management and Cross-Functional Collaboration
Lead and develop the financing and capital operations team to enhance professional capabilities.
Collaborate closely with internal departments (e.g., business, legal, operations) to provide financial perspectives and data analysis support for strategic decision-making.
III. Qualification Requirements
Essential Requirements:
Bachelor's degree or higher in finance, accounting, economics, or related fields.
6+ years of financial management experience, with at least 3 years specializing in financing or capital markets.
Preferred: Hands-on experience managing a complete U.S. or Hong Kong IPO project, including successful execution of the entire listing process.
Proficiency in corporate financing, financial modeling, investment analysis, and risk management.
Familiarity with U.S. SEC or Hong Kong Stock Exchange listing rules, disclosure requirements, and relevant laws/regulations.
Deep understanding and practical application experience with US GAAP or IFRS.
Excellent written and verbal communication skills in both Chinese and English, capable of serving as the primary liaison for professional interactions with international investment banks, legal counsel, and investors.
Preferred Qualifications:
Preference given to candidates holding relevant professional certifications such as CPA, ACCA, or CFA.
Demonstrated strong leadership, project management capabilities, and ability to thrive in high-pressure environments.
