We are currently seeking a **Corporate Secretarial Executive**to join our team. This role is ideal for a highly responsible and detail-oriented professional with strong knowledge of the Singapore's corporate regulatory framework.
**Roles & Responsibilities**
**Corporate Secretarial Duties**
- Independently manage a portfolio of clients in handling all corporate secretarial matters
- Prepare and file statutory documents in compliance with ACRA regulations
- Coordinate and facilitate board and shareholder meetings, including preparation of agendas, resolutions, and minutes
- Maintain and update statutory registers and company records (e.g., director/shareholder changes, shareholding structure)
- Prepare and file documents related to share transfers, allotments, and capital structure changes
- Assist in incorporation of companies, branch registrations, striking off entities, and other related services
- Liaise with ACRA, MOM, IRAS, and other relevant authorities
**Compliance & Risk Management**
- Ensure compliance with Singapore Companies Act and other regulatory policies
- Oversee timely submission of annual returns, tax filings, and other statutory documentation
- Conduct KYC/CDD checks during client onboarding and periodic reviews
- Support anti-money laundering (AML) and counter-terrorism financing (CTF) procedures
**Client & Stakeholder Communication**
- Maintain strong communication with clients and regulatory bodies
- Provide timely and professional responses to client inquiries
- Coordinate with internal teams to support day-to-day business operations
**Team Collaboration & Workflow Improvement**
- Review submissions and assist other team members
- Streamline workflows to improve service delivery and efficiency
- Contribute to the development of internal systems and procedures
**Professional Development & Special Projects**
- Stay updated with industry trends, legislative changes, and best practices through seminars and workshops
- Take on special assignments and projects as delegated by management
**Requirements**:
- Degree or diploma in Business Administration, Law, Accounting, or a related field
- At least 3 years of relevant experience in the corporate secretarial field in Singapore
- ICSA qualification or currently pursuing is highly preferred
- Sound knowledge of the Singapore Companies Act and ACRA/IRAS regulatory requirements
- Familiar with ACRA’s BizFile+ and IRAS stamp duty portal
- Excellent organizational skills, attention to detail, and ability to manage multiple clients
- Strong written and spoken English; multilingual skills are an advantage
- High level of initiative, professionalism, and interpersonal skills
