**Job Title**:
M&A Analyst, APAC

**Role Purpose**:

- The APAC M&A team are central to the DAN ambition of accelerating strategy through acquisitions whilst ensuring they offer both good value to the business and have appropriate protections in place.
- The role reports into the APAC Head of M&A and provides support to all of the deal team throughout the full deal process.
- Responsible for supporting the M&A team throughout the deal process, including the co-ordination and writing of investment papers which are submitted to the M&A Committee (comprising of the Global Executive board) for approval.

**Personal Specification**:

- Strong commercial acumen demonstrated through supporting clients and / or internal stakeholders
- Excellent financial training and experience including financial modelling and analysis
- Understanding of a deal environment, deal structures and valuation theory
- Proactive approach to working within a team
- Experience of working in a fast moving, high pressured and exciting deal process
- Strong communication and stakeholder management skills
- Sound judgement, diligent, strong attention to detail and a team player with the ability to meet strict deadlines
- Strong analytical, critical thinking and problem solving skills with the ability to organise and gather facts, navigate through complex issues and draw conclusions
- CA and/or CFA qualified / significant valuation and deal experience
- Understanding of the advertising and media industry an advantage but not essential
- A desire to work in a values driven environment, embracing a culture of energy and the DAN values:

**Key Accountabilities**
Deal Support
- Assist in developing acquisition models with Deal Leaders to value potential targets and enable valuation negotiations
- Work with Deal Leaders to produce and refine acquisition structures including performing sensitivity analysis such as break even and client sensitivity analysis.
- Work closely with local market CFO’s to review and challenge forecasts produced for the acquisition target, ensuring all assumptions are fully supported and communicated to key stakeholders
- Take responsibility for writing Investment Papers (Acquisition Proposal) for presentation to the M&A Committee and managing key stakeholders (local market CEO & CFO’s) throughout the review process.
- Review and discuss due diligence reports with advisors, maintaining a deal issues list
- Work closely with other internal Group functions (Tax, Finance, Legal, Treasury etc) to resolve issues identified in due diligence and address risks appropriately
- Liaising with internal and external legal teams to assist in drafting Letters of Intent, SPA’s, completion balance sheets and profit statements

Integration and earn out payments
- Review deferred consideration payments for previous acquisitions to ensure they represent the transaction documents accurately.

Adhoc analysis
- Adhoc special projects for the Head of M&A

Development
- Build relationships with the finance community (Market CFO’s) and Group functions including the Group M&A team.
- Develop the skills, experience and confidence to take increasing responsibility within the deal team, including devising deal structures, understanding the implications of due diligence findings and drafting LOIs with the ultimate aim of eventually taking the lead M&A role on acquisitions.
