We are seeking an experienced and forward-thinking Senior Legal Counsel or Legal Director to join our Singapore office. This role is ideal for a legal professional with a proven track record in leading teams, managing cross-border M&A transactions, and operating in a high-growth, fast-paced environment. Experience in a U.S.listed company or a top-tier international law firm is highly valued.

**Key Responsibilities**:

- Provide legal advice and support across a broad range of areas, including corporate governance, business operations, and commercial transactions.
- Lead and manage cross-border M&A transactions, including legal due diligence, transaction structuring, contract drafting, and negotiations.
- Advise on U.S. capital markets compliance matters, including SEC filings, disclosure obligations, and shareholder communications.
- Draft, review, and negotiate key business agreements and vendor contracts.
- Work closely with external counsel and effectively manage legal budgets.
- Collaborate with cross-functional teams across departments and regions to ensure legal support aligns with business objectives.
- Mentor junior legal staff and, where applicable, lead and develop a small legal team.Assist in enhancing and maintaining internal compliance programs, including those related to anti-bribery, data protection, sanctions, and export controls.

**Who You Are**:

- A law degree from a top-tier university; legally qualified in Singapore, Mainland China, Hong Kong, the U.S., or another common law jurisdiction.
- 8-12 years of relevant legal experience, including at least 2-3 years in a leadership or team management role.
- Proven experience in leading or advising on cross-border M&A transactions.
- Experience with a U.S.listed company or an international law firm is a plus.
- Fluent in English with excellent drafting and negotiation skills; Chinese language ability is a plus (to effectively communicate with Chinese-speaking associates).A commercially minded professional with strong communication skills and the ability to thrive in a fast-paced, international environment.
