**Purpose & Scope**

The Ethics and Compliance function in Sembcorp is responsible to drive the ethics and compliance program across SCI and the Sembcorp Group to ensure that applicable laws, regulations are complied with and that applicable internal policies and systems are put in place and implemented to enable such compliance. The Compliance Legal Counsel will support the Ethics and Compliance function and will work closely with teams globally where Sembcorp operates in.

**Key Roles and Responsibilities**
- Reviewing the applicable laws and regulations and its updates and assessing its impact to Sembcorp group of companies
- Designing, implementing, maintaining and monitoring the compliance program which comprisesdeveloping and implementing policies, procedures, processes, systems and methodologies as well as implement an effective monitoring strategy to ensure the compliance program is effective. This includes identifying, preventing detecting and correcting non-compliance with applicable laws and regulations
- Develop the compliance training program for the Group and provide on-going training to employees across the organization by creating awareness and education on the applicable compliance policiesand effectively track the completion of these trainings.
- Interacting with regulators on compliance issues including managing and reporting personal data breach incidents to the relevant Data Protection Authorities.
- Assessing compliance risk from business activities such as investments, joint ventures, entries into emerging markets or changes in personal data processing activities and recommending action plans.
- Developing, updating and reviewing standard contractual obligations with our counterparties to safeguard Sembcorp group of companies against violations of applicable laws and regulations
- Preparing and presenting clear and concise compliance reports to Senior Management and the Board.
- Independently investigating and acting on matters related to compliance

**Qualifications, Skills & Experience**
- Possess a Law degree from a reputable university with at least 6 years’ post qualification legal experience.
- Admission to the bar.
- Mastery of compliance and data privacy related laws and regulations and applicability to the energy sector.
- Practical experience in dealing with issues relating to compliance matters such as alleged bribery and corruption or money laundering investigations, data privacy breaches, merger control and other antitrust law requirements, trade sanctions and trade control laws as well as data export regulations.
