Acting General Counsel

You will advise Executives, Senior Management, and the Board, you will be a trusted advisor who will guide and influence the organization and all of its subsidiaries and related entities across the entire region, with your deep understanding and expertise in general legal matters, legal risk, regulatory compliance, and corporate governance, including (1) employment law, policies, procedures, rules and regulations; (2) general contract law with a keen understanding of intellectual property law (especially the domestic framework for franchising), property laws, and agency law; (2) capital market transactions; (3) commercial transaction including corporate law, corporate good governance, and insurance; (4) taxation. Accordingly, significant regional experience in franchising, or F&B, or FMCG.

Specific tasks:
1. To lead, plan, coordinate, and advise executive with governance, risk management and all manners of legal matters, including evaluating and weighing multiple inputs and impacts of any decision or course of action as well as changes in the legal or regulatory frameworks of each market; anticipating issues and estimating risks strategically and identifying proactive solutions that will eliminate or mitigate risks;
2. To provide strategic legal advice to the executive team and ensure that the senior leadership teams of the Core and Growth Operations receive proper and timely advice;
3. To provide the executive team with a holistic assessment of contentious legal issues, both actual and anticipated, to project manage litigation including the supervision of external and internal counsels in litigation or dispute resolution activities, and to represent the company in legal actions;
4. To anticipate and identify legal issues for the purposes of (1) providing expert and strategic legal support and legal advice to the executive team; and (2) developing preventive legal strategies and policies relating to stakeholder relations, financial risk, and other material issues;
5. To review internal corporate governance policies and procedures as well as corresponding standard contracts (such as employment, customer, and vendor agreements) and continuously and propose changes whenever necessary and pursuant to prevailing law to manage the effect of the various external and internal forces affecting the groups interests directly or indirectly;
6. To oversee the registration of new entities and timely submission of continuing compliance regulatory filings with relevant governmental agencies;
7. To deal with complex, significant developments in the Asia Pacific region and develop relationship characterized by mutual respect and trust with external stakeholders, including but not limited to government officials, industry partners, franchisees, and the like;
8. To develop and maintain an effective and efficient document filing system and to automate contract execution for closings, renewals, and termination;
9. To travel regularly to various markets and interact regularly with consultants, company secretaries, and other business partners to understand individual markets thoroughly.
- You will exercise direct supervision over all counsels and shall be responsible for managing departmental resources and maximizing the internal resources.

Specific tasks:
1. To review (a) advice rendered by counsels to internal stakeholders on projects and day-to-day operational matters to protect the business against legal risk; (b) opinions and agreements drafted by counsels to ensure the minimization of risk and reservation of legal rights;
2. To ensure that all legal counsels are abreast with legal developments in their respective markets by supporting their individual professional growth and development by finding appropriate seminars, workshops, and professional affiliation;
3. To design, establish, and make adjustments on the organizational structure and staffing of the legal team in order to support the group goals efficiently and effectively;
4. To oversee recruitment, training, supervision, and evaluation of all legal staff, ensure that the team remains motivated and aligned with the group culture in order to drive team performance;
5. To coach, mentor, and develop career plans for legal team members; and

6. To prepare the annual departmental budget, monitor expenditures, and conduct periodic costs and productivity analyses.
