General Counsel

Our client is a Private Equity Group based in Singapore that sponsors private equity investments into real estate businesses in partnership with expert management teams, either local developers or sector specialists, with the goal of building high-valuation market leaders. One of their platforms is a rapidly growing South-East Asian platofrm with significant capital-backing and an already very strong, cool brand in the region. It is a unique hospitality platform that has significant opportunity for further growth and they are looking to hire a General Counsel to be based in Singapore.

MAIN SCOPE AND PURPOSE:
Responsible for managing and ensuring legal commitments at the executive level. This role will work with the Board of Directors and be responsible for providing high-level administrative support such as;
organisation of contracts, leases, deeds and documents, company structure, international tax compliance, due diligence, legal advice across all regions, proofreading, presentations and contract

creation.

Main duties and responsibilities:

- Liaises with local legal counsels in all regions and manages workflow, tasks and deliverables to ensure compliance at a local and international level.
- Provide advice on legal matters, corporate structure and compliance.
- Drafting legal positions, memoranda and briefing documents.
- Proofreads and negotiates contracts and advises on issues and required changes.
- Monitors compliance requirements to ensure compliance in all jurisdictions.
- Ensures due diligence of contracts, leases, deeds etc are organised indexed and easily electronically accessible.
- Manages requirements and compliance for public listings, public offerings and the legal issue of financial instruments on public and private markets.
- Handle all legal responsibilities and advising on how existing laws and legal rights that would impact functionality of the business.
- Overseeing the legal matters of the business as a whole, including acting as the business' legal representative, managing litigation issues and resolving conflict.
- Crafting and reviewing legal strategy in response to any litigation with local or legal counsel
- Legally filing for copyright of the intellectual property.
- Maintains confidence and protects business operations by keeping documents organized and updated, maintaining privacy and confidentiality.
- Monitors the implementation of the legal compliance within our supply chain.
- Assisting the Board of Directors in implementing the company’s vision, plans and strategies as a whole from a legal perspective.
- Always be up to date and informed of the latest changes within the Regions and countries that could impact the operation of the business and cause disadvantages.
- Ad-hoc projects and assignments as the business requires.

Health and Safety:

- Proactively support the Company’s health and safety agenda.
- Ensure you are aware of their Health and Safety responsibilities as required by the company Health and Safety Policy, monitor compliance with procedural requirements.
- To be aware of and comply with safe working practices as laid down under the Health and Safety policy as applicable in our place of work, including awareness of any specific hazards in the Workplace.
- Ensuring the wearing of appropriate protective clothing provided by or recommended by the Company will be obligatory and ensure this is applied across all departments where applicable.
- Report any defects in the building, plant or equipment according to office procedures.
- Ensure that any accidents to team members, customers or visitors are reported immediately in accordance with correct procedures and ensure awareness of these procedures across the division.
- Attend Statutory Fire and any relevant Health and Safety training, be fully conversant with and abide by all rules concerning Fire and Health and Safety. Be vigilant in ensuring this is managed effectively across the operation.
- To be fully conversant with all Risk Assessments for your department, COSHH Regulations, Fire and Bomb Procedures.
