**About the Company**:
My client is a high-growth, founder-led digital asset company operating at the forefront of Web3, blockchain infrastructure, and decentralized finance (DeFi). As they expand across Asia Pacific and EMEA, we are seeking a highly capable and business-minded **Legal Counsel**to support our international operations and regulatory footprint — w **ith a required relocation to the Middle East.**

This is a unique opportunity to step into a **pioneering legal role**at a critical growth phase of the business.

**Key Responsibilities**:
**1. Strategic Legal & Regulatory Advisory**:

- Act as the primary legal partner to the Founder and executive team, advising on legal risks, regulatory changes, and strategic business matters.
- Navigate and interpret fintech, digital asset, and crypto regulations across APAC, the Middle East, and emerging markets.
- Lead regulatory engagement and licensing efforts across multiple jurisdictions.

**2. Commercial, Contract & Transactional Law**:

- Draft, negotiate, and manage a wide range of commercial contracts, including token issuance (SAFTs), vendor and partnership agreements, IP licensing, and SaaS/cloud contracts.
- Ensure legal compliance across all product and service offerings.

**3. Corporate Governance & M&A**:

- Advise on and manage corporate governance, company secretarial matters, board documentation, and cross-border structuring.
- **Lead M&A activity**, including legal due diligence, deal structuring, term sheet drafting, SPA negotiations, and post-acquisition integration.

**4. Risk, Compliance & Policy Development**:

- Design and implement company-wide legal and compliance policies, covering AML/KYC, data privacy, financial services regulation, and intellectual property.
- Build internal risk management frameworks from the ground up, suitable for a Web3-native business.

**5. External Counsel & Stakeholder Management**:

- Coordinate and manage external legal counsel across various jurisdictions.
- Act as a key point of contact for regulators, partners, and advisors.
- **Minimum 4 years of post-qualification experience**(PQE), either in-house or at a reputable law firm.
- **Open to private practice lawyers**who have advised fintech, blockchain, crypto, or emerging tech clients and are now looking to transition into an impactful in-house role.
- Common law qualification strongly preferred (e.g., Singapore, Hong Kong, Malaysia, Thailand, Taiwan, Korea, Japan, Dubai).
- Solid understanding of Web3, digital asset, and decentralized technology legal landscapes.
- Strong commercial acumen with the ability to balance legal risk and business objectives.
- Excellent drafting and cross-border negotiation skills.
- **Must be open to relocating to the Middle East**(e.g., UAE or KSA) — relocation support will be provided.
