About the Role As a Legal Counsel at Longbridge Group, you will play a critical role in providing strategic legal and commercial support across the Group’s businesses globally. You will be responsible for rendering strategic legal and commercial guidance, ensuring compliance with regulatory requirements, mitigating legal risks, and supporting the company’s ordinary businesses. In this capacity, you will collaborate with the compliance team, finance team, business teams, and other departments to address complex legal matters in a dynamic financial industry environment. Key Responsibilities Legal Advisory and Business Support Advise on legal risks and opportunities related to the day-to-day business activities, including securities trading, investment banking, asset management and other financial services. Represent the Legal Department in various local and regional projects, initiatives, and risk management committees. Support digital innovation initiatives and the development of digital platforms, services, and products. Support for the group’s financing initiatives, including equity financing, debt financing, structured finance, and cross-border funding arrangements. Support the group’s investment and M&A activities, including joint ventures, corporate restructurings, and project financing transactions, from due diligence, deal structuring, negotiation, closing, to post-closing arrangements. Regulatory Compliance and Risk Management Advise on regulatory and licensing requirements applicable to Longbridge’s businesses in Singapore, United States and other applicable jurisdictions as assigned. Liaise with regulators, external counsel as well as in-house compliance offer as needed. Monitor legal and regulatory developments impacting the business and develop strategies to ensure compliance. Lead legal responses to regulatory inquiries, audits, investigations, and enforcement actions. Contract Negotiation and Documentation Draft, review, and negotiate a broad range of agreements, including client agreements, vendor contracts, commercial contracts, partnership agreements, trade confirmations, and product term sheets. Develop and maintain legal and contractual templates to standardize and streamline documentation processes. Ensure contracts are legally sound, protect the company’s interests, and comply with regulatory requirements. Corporate Governance Provide legal guidance on corporate governance matters, including board and shareholder resolutions, and maintenance of corporate records, and company policies, as required. Litigation and Dispute Resolution Oversee and manage external counsel in litigation and dispute resolution processes, including securities-related disputes, customer claims, and regulatory enforcement actions. Develop strategies for dispute resolution, ensuring the protection of the company’s interests while minimizing legal risk. Leadership and Collaboration Work closely with cross-functional teams (e.g., Compliance, Finance, Operations, and HR) to provide comprehensive legal support across the organization. Liaise regularly across business areas to ensure alignment of legal strategies and policies. Represent the Legal Department in fiduciary forums, risk committees, and board meetings as required. Qualifications Bachelor of Laws (LL.B.) or equivalent law degree from a recognized and reputable institution. Licensed to practice law in Singapore (a must), qualifications in the US, UK or other common law jurisdictions will be a plus. 3-5 years of post-qualification legal experience. Strong experience in corporate, commercial, and regulatory matters; exposure to financial services, fintech, or technology sectors is a plus. Experience at a reputable law firm is also highly valued.
