About the RoleWe are seeking an experienced Banking & Finance Legal Counsel (8-12 years PQE) to provide hands-on legal support for the Group's diverse financing activities. The role will focus on advising, drafting, and negotiating a wide range of financing documentation (including syndicated and bilateral loans, trade finance, and sustainability-linked facilities), supporting Treasury and Finance teams on funding strategies, and managing cross-border transactions with external counsel and lenders.Key responsibilities:1.\tAdvise, draft, review and negotiate:• \tOn all legal aspects of banking and financing transactions, including syndicated and bilateral loans, revolving credit facilities, receivables/trade finance, guarantees/letters of credit, intra-group financing, intercompany loans as well as green and sustainability linked loans. Experience in reviewing project financing agreements would be a bonus; and• \tAPLMA/LMA and bespoke financing documentation, including term sheets, loan agreements, inter-creditor agreements, security documentation, and waivers/amendments.2.\tPlay a key role in the group's diverse financing activities by:• \tSupporting internal stakeholders (e.g., Banking, Treasury and Finance teams) on financing structures, corporate funding strategies, refinancing and debt structuring mechanisms; • \tEnsuring alignment with internal risk, compliance, and corporate governance frameworks; • \tManaging external counsel and coordinating internal legal support for cross-border transactions; • \tProviding pragmatic, solutions-focused advice on dynamic issues in complex, cross-border financing; and • \tSupporting negotiation and liaising with lenders and financial institutions as needed.3.\tMonitor developments in banking and finance laws and regulations that could impact the group and proactively advise relevant functions.Requirements: 1.\tQualifications• \tLaw degree from a reputable university and qualified to practise in a common law jurisdiction• \t8-12 years of post-qualification experience (PQE) in banking and finance law• \tProven track record with complex financing documentation and structures, with exposure to both lender-side and borrower-side issues• \tProficient in English (verbal and written); working knowledge of Mandarin and/or Bahasa Indonesia is an advantage2.\tSkills• \tLegal drafting, negotiation and review of syndicated loans, bilateral loans, trade finance, sustainability-linked facilities, security agreements and project financing agreements• \tStrong stakeholder management across Treasury, Finance, Banking teams, lenders, and external counsel• \tAlignment with compliance and corporate governance frameworks• \tLegal research and regulatory monitoring in banking and finance law• \tProblem solving and commercial acumen• \tProficiency in Microsoft Office and related tools3.\tPersonal Characteristics• \tHigh integrity with ability to maintain strict confidentiality• \tCollaborative team player with ability to work independently and take ownership• \tDetail-oriented, well-organised, and reliable under pressure• \tCommercially minded, adaptable, and solutions-focused
