Your contributions will be impactful, value driven, and you will play an instrumental role on the Compass Legal Team.
Please note this is a 100% in-office role, and can be based out of our NYC, LA, or San Francisco office.
Responsibilities
Serve as a lead attorney on Compass’s mergers, acquisitions, joint ventures, debt financing, and other strategic corporate and commercial transactions, with responsibilities that will include:
Advising internal business clients and serving as their legal subject matter expert
Supervising outside counsel on all transactional matters, while liaising with legal and non-legal internal stakeholders at Compass
Drafting and negotiating term sheets, definitive agreements, credit agreements, commercial agreements and other ancillary and commercial documentation
Working collaboratively with multiple cross-functional teams on post-transaction and integration matters
Supporting day-to-day legal issues related to marquee agent offerings, including Compass Concierge
Develop policies, training, and workflows to allow business teams to move quickly while addressing key legal risks in their areas of operation
Identify and develop improvements of standard form agreements, transaction playbooks, and other legal and non-legal processes at Compass
Contribute to legal department initiatives, including cross-functional projects and training
What We Look For
Strong academic credentials including a JD and membership in good standing in at least one state bar (NY or CA bar a plus)
5+ years of experience, either at a top law firm or large in-house legal department (or combination thereof)
Background in M&A, leveraged finance, or other complex transactional practice
Confidence operating in a fast-paced environment
Able to manage several simultaneous projects and shift priorities under deadline pressure in a dynamic environment
A team player with low ego who can effectively work with other attorneys and professionals
Strong organizational skills and attention to detail
Exceptional written and verbal communication skills and an ability to explain complex ideas clearly and simply
Compensation : The base pay range for this position is $159,700-$190,000 annually; however, base pay offered may vary depending on job-related knowledge, skills, and experience. Bonuses and restricted stock units may be provided as part of the compensation package, in addition to a full range of benefits. Base pay is based on market location. Minimum wage for the position will always be met.
