General Counsel - Corporate and Strategic Governance

Job Description:

The General Counsel will spearhead legal strategies for strategic investments, fundraisings, and corporate governance across multiple jurisdictions. This role is pivotal in developing a robust compliance culture.

Key Responsibilities:

  • Mergers & Acquisitions and Strategic Investments: Lead the structuring, due diligence, negotiation, and execution of M&A transactions, joint ventures, and portfolio investments.
  • Capital Markets and Fundraising Support: Provide advisory services on capital raising activities, including private placements, bond issuances, convertible securities, and other structured financing.
  • Corporate Governance and Secretariat: Collaborate with the Company Secretary to coordinate board and shareholder meetings, ensuring group entities comply with corporate governance standards and regulatory obligations.
  • Regulatory Compliance and Legal Training: Monitor legal and regulatory developments, develop and implement internal policies and procedures, and design and deliver internal legal training.
