Our client is a high-growth digital infrastructure developer and operator, backed by prominent institutional investors and led by a seasoned executive team. Headquartered in Asia, the platform is building out a robust regional footprint across key markets in APAC. With an ambitious expansion strategy underway, the company is now looking to appoint its
first in-house legal counsel
to support corporate and commercial legal matters across its operations.
Position Overview:
We are seeking a commercially astute and hands-on Legal or Senior Legal Counsel to take ownership of the company’s legal affairs. This is a
newly created role
and a rare opportunity to shape the legal function for a rapidly scaling digital infrastructure business. You will work closely with the senior leadership team to manage a broad spectrum of legal issues, including corporate transactions, project development, joint ventures, financing, commercial contracts, and governance matters.
Key Responsibilities:
Act as the key legal advisor to the executive team on strategic corporate matters, including M&A, JV structuring, capital raising, and project development.
Lead or support the negotiation and execution of high-value commercial agreements, including customer contracts, EPC and O&M contracts, service and vendor arrangements.
Provide legal input on regulatory, risk management, compliance, and governance frameworks across the platform and its subsidiaries.
Work closely with external counsel across multiple jurisdictions to manage cross-border legal issues.
Assist in the development of internal legal processes and templates to support scalability and operational efficiency.
Support board and shareholder matters, including drafting and reviewing resolutions, corporate secretarial documentation, and related filings.
Requirements:
Qualified lawyer with a minimum of
8 years’ post-qualification experience , with a strong foundation in
corporate transactions and commercial law .
Admission to the
US or UK Bar
is strongly preferred.
Prior experience working in a
top-tier international law firm , with subsequent
in-house experience
in a relevant sector (infrastructure, energy, digital/tech, real assets) is highly regarded.
Exposure to the
funds, real estate and/or infrastructure sectors
will be a strong plus.
Ability to work independently and take a hands-on, solution-oriented approach in a fast-paced, entrepreneurial environment.
Strong stakeholder management and cross-cultural communication skills, with the ability to operate across multiple jurisdictions in APAC.
