Role: Legal Counsel | Inhouse Lawyer Industry: IT Service Provider ( System Integrator )Working Hours: 9am - 6pm (Mon - Fri)Office is located nearby Bedok MRT, Singapore ( East )Requirements Bachelor of Laws (LLB) from a recognized university. Professional certifications such as ICSA / ACIS / ISO Lead Auditor (9001/27001) / DPO certification are advantageous but not mandatory. Minimum 5–7 years of post-qualification legal experience , preferably with exposure to technology, IT services, or system integrator (SI) industries. Familiarity with Singapore's statutory and regulatory frameworks affecting technology service providers. Those with no working experience in IT Industry will not be shortlisted Responsibilities: Legal Contract Management Technology service agreements (e.g., managed services, SaaS, licensing, outsourcing). Vendor and supplier agreements (hardware/software procurement, cloud services). Customer contracts (enterprise projects, public sector tenders, service-level agreements). Confidentiality agreements, NDAs, partnership and joint-venture agreements. Provide legal advice to management and business units on contract structures, risks, and obligations. Maintain a library of contract templates, playbooks, and precedents for efficiency and consistency. Support dispute resolution and claims management, including coordination with external counsel where required. Corporate Governance & Board Advisory Act as Secretary to the Board and its Committees: manage meetings, draft agendas, minutes, resolutions, and compliance registers. Advise the Board and management on corporate legal obligations and statutory requirements under Singapore law. Ensure timely filings and statutory submissions with ACRA and other regulatory bodies. Regulatory & Certification Support Ensure compliance with Singapore statutory and regulatory frameworks (e.g., ACRA, IRAS, MOM, PDPC, IMDA). Support certification and accreditation requirements linked to service delivery (e.g., ISO 9001, ISO/IEC 27001, CSA Cyber Essentials/Trust Mark, Microsoft compliance standards). Liaise with auditors, regulators, and certification bodies on findings, responses, and legal implications. Technology & Product Legal Support Review and advise on legal issues related to technology solutions, including software licensing, cloud services, data protection, intellectual property, and managed service offerings. Ensure product and vendor contracts comply with certification, safety, and regulatory requirements (e.g., CE Mark, FCC, IMDA Type Approval). Provide legal support for public tenders, framework agreements, and consortium partnerships. Policy & Internal Legal Framework Draft and maintain company policies, SOPs, and internal governance frameworks with legal implications. Ensure version control, clear approval processes, and company-wide accessibility. Lead periodic reviews of policies and procedures to reflect legal or regulatory updates. Ethics & Corporate Integrity Oversee conflict-of-interest declarations, whistleblower procedures, and ethics-related training.
