Roles & Responsibilities About the Company Our client is aleading SGX-listed group with a strong reputation for integrity, governance, and sustainable long-term growth. To strengthen corporate governance and board support, we are seeking an experienced Company Secretary to join their senior management team. The Role This is a senior management appointment with responsibility for the full spectrum of company secretarial and governance functions. Key Responsibilities Lead the full suite of company secretarial functions, including board and committee meetings, minutes, statutory filings, and SGX/ACRA compliance. Advise the Board and senior management on corporate governance, materiality, and disclosure matters for announcements. Drive corporate exercises such as share buybacks, share placements, and other capital market transactions. Oversee effective subsidiary governance, statutory filings, financial statement compliance, AGM preparation, and D&O insurance. Liaise with regulators to ensure timely compliance and uphold strong governance practices. Manage and mentor a team of corporate secretarial professionals. Requirements Proven track record as a Company Secretary in a listed company , with experience managing multiple entities within a group structure. In-depth knowledge of Companies Act (Cap. 50) , SGX Listing Rules , ACRA requirements , and the Code of Corporate Governance . Strong experience in regulatory submissions , SGX announcements , and company structuring . Excellent stakeholder management, communication, and drafting skills, with the ability to deliver under pressure. Demonstrated leadership capability with experience managing and developing teams. ICSA qualification or equivalent professional certification preferred . Degree in Law or prior legal experience is advantageous but not essential ; candidates with strong corporate governance expertise and listed-company experience are encouraged to apply.
