Job Title: Corporate Secretary

We are seeking a highly skilled Corporate Secretary to join our team at Corporate Finedge Pte. Ltd.

Key Responsibilities:
  • Provide guidance and coaching to the CS team to ensure seamless delivery of corporate secretarial services.
  • Handle a portfolio of corporate secretariat matters for Singapore and overseas companies, including preparation of Directors' Resolutions, AGM & EGM documents, and meeting materials.
  • Prepare and draft board resolutions and minutes, as well as examples of changes to directors and/or secretary, establishment of bank accounts and facilities, transfer of shares, and increase of share capital.
  • E-file various transactions with ACRA, including Annual Return, Return of Allotment, Appointment of Officers, and more.
  • Ensure compliance with statutory and regulatory requirements, meeting deadlines and maintaining accurate records.
  • Organize and coordinate board meetings, preparing board papers and ensuring timely distribution.
  • Liaise with external parties, including corporate secretarial service providers, notary offices, and other stakeholders.
  • Attend to notarization and legalization of documents, as required.
  • Respond to requests from business units and auditors for information and documents.
Requirements:
  • At least 5 years of relevant experience in professional firms providing corporate secretarial services.
  • Possess or pursuing ICSA or relevant qualification is an advantage.
  • Excellent interpersonal and communication skills, with the ability to work independently and multi-task.
  • Good organization and administrative skills, with attention to detail and ability to meet deadlines.
